Reporting to the Director and Senior Legal Counsel, MD, the Senior Legal Counsel, will work directly with the MDFM businesses and their functional support groups to provide legal guidance on a broad range of matters in support of business strategies and objectives and ensure all activities conducted are in compliance with governing regulations and internal policies and procedures.
Accountabilities:


  • Provides legal advice, analysis and support to the MD Group of Companies and, as applicable, the Scotiabank Wealth business lines, including by:
    • Providing high quality legal research, analysis, documentation, negotiation, preparation, review and advice to business lines and control functions on a variety of matters;
    • Identifying and assessing legal risks and developing strategies to mitigate risk and protect MD and the Bank\'s interests;
    • Researching legal issues of substantial complexity on a global, national or regional basis and informing the business on developing legal trends and their impact on operations and providing recommended courses of action;
    • Identifying and resolving legal and regulatory issues, risks and concerns;
    • Drafting, reviewing and negotiating legal agreements;
    • Instructing and directing the activity of external counsel;
    • Mentoring and supervision of MD Legal Counsel(s);
    • Actively participating in (and in some cases, leading) cross-functional teams requiring legal representation such as reviews of new products and services, incident management or other matters; and
    • Developing and maintaining strong working relationships with internal business units and partners.
  • Understands how MD and the Bank\xe2\x80\x99s risk appetite and risk culture should be considered in day-to-day activities and decisions.
  • Works collaboratively with other members of the Legal team providing back up as required.
  • Champions a high-performance and customer focused environment and contributes to an inclusive work environment.

Education and Experience:

  • Graduate of a recognized law school and Membership in the Law Society of one of the provinces of Canada.
  • A minimum of 8 years of corporate/securities law experience gained from a law firm, major financial institution and/or securities regulatory body.
  • A strong understanding and knowledge of the financial services industry, including securities legislation, the Trust and Loans Act, the Insurance Companies Act and/or related provincial legislation would be an asset.
  • Ability to assess complex situations and problems with objectivity and clarity.
  • Ability to understand key business drivers and tailor business solutions to minimize legal risk.
  • Ability to build strong working relationships with a wide range of stakeholders including board of directors, senior management, business line staff and internal/external partners to help and develop long term relationships.
  • Strong organization, drafting, analytical, communication and presentation skills.
  • Conducts oneself in a highly professional manner and operates with a high degree of discretion and confidentiality.
  • French speaking would be an asset.
