POSITION OVERVIEW

The Legal Counsel, Investment and Specialized Financing supports the Vice-President, Legal Affairs and other legal counsel who support the business units with respect to venture capital (investment funds and equity investments), subordinated debt, syndicated loans and securitization activities of BDC and its subsidiary BDC Capital. The candidate will have a good knowledge of the environment and the industry, particularly in the area of venture capital and subordinated financing. The candidate will have the experience and expertise to complete complex transactions and to service and advise internal clients. To be successful in this position, the candidate must be able to: manage and deliver a good volume of files, assess the relevance of files and prioritize work that requires attention, deal with changing priorities and demonstrate a business approach.

CHALLENGES TO BE MET

Work with the various internal partner teams to provide clear, practical and timely legal advice on various external client financing matters and/or internal projects, which are supported by thorough and comprehensive legal analysis

Accompany internal clients and negotiate certain business-related contracts in complex transactions

Coordinate and direct, as required, external lawyers mandated by BDC in the course of its activities

Conduct research on various legal issues relevant to the business and advise management

Provide support, coaching, training and guidance to internal clients.

WHAT WE ARE LOOKING FOR

University degree in law

Between 5 and 7 years of relevant experience in commercial and transactional law in business or private practice

Member of the Quebec Bar or equivalent from any Canadian province

Knowledge and experience investment funds, equity transactions and subordinated debt

Knowledge and mastery of research tools

Highly collaborative and strong interpersonal skills

Able to quickly gain credibility with business partners

Be proactive in your work environment

Excellent judgment and creative problem-solving skills

Bilingualism in speaking and writing (English and French)
