Legal Counsel, Corporate and Transactional

Hamilton, Bermuda

In your role as a member of the global corporate transactions team, you will collaborate closely with AXA XL\xe2\x80\x99s legal and compliance teams, alternative capital team, finance and treasury to assist in supporting AXA XL\xe2\x80\x99s Bermuda and global operations with a variety of transactions, including: reinsurance/retrocession transactions involving third party capital providers, M&A activity, credit facilities, corporate reorganization transactions and procurement agreements, as well as assisting with corporate secretarial and governance activities. We are looking for a lawyer with outstanding corporate/commercial transactional, corporate governance, insurance linked securities and collateralized reinsurance experience who demonstrates good commercial judgement and critical thinking in order to consider wider impact/implications as they relate to legal and regulatory aspects of business transactions.

What will your essential responsibilities include?

\xc2\xb7 Provide legal support and advice to all functional areas of Bermuda operations and the Alternative Capital Team

\xc2\xb7 Collaborate with AXA XL\xe2\x80\x99s business stakeholders, operations, finance, tax and legal colleagues to support AXA XL\xe2\x80\x99s finance, tax, treasury and corporate development teams.

\xc2\xb7 Assist with corporate governance matters, including providing support to the corporate secretarial function and preparing notices, minutes, materials and all related documentation.

\xc2\xb7 Negotiate, interpret, draft and review a variety of transactional agreements, disclosure documents, non-disclosure agreements, credit agreements, offering documents, collateral trust agreements and collateralized reinsurance agreements.

\xc2\xb7 Support Head of Legal for Corporate and Strategic Transactions and the global transactions team on complex and fast paced transactional matters.

\xc2\xb7 Advise on and manage interactions with the Bermuda Monetary Authority, including in connection with the applications to license special purpose insurers and segregated account companies.

\xc2\xb7 Instruct and manage relationships with outside counsel.

\xc2\xb7 Stay current on Bermuda corporate law and insurance regulations.

You will report to the Head of Legal, Corporate and Strategic Transactions.

Qualifications

We\xe2\x80\x99re looking for someone who has these abilities and skills:

\xc2\xb7 Qualified lawyer with at least 4 years post-qualification experience in a recognized law firm or a company engaged in the insurance/reinsurance sector and preferably a member of the Bermuda Bar or qualified in a commonwealth jurisdiction.

\xc2\xb7 A demonstrated track record as a commercial transactional lawyer, ideally with experience with insurance link securities and collateralized reinsurance transactions

\xc2\xb7 A sound knowledge of Bermuda company law and preferably a working knowledge of Bermuda insurance law and regulation

\xc2\xb7 Takes initiative, thinks creatively, and has the ability to work independently and as part of an interdisciplinary team, with a passion for continuous improvement.

\xc2\xb7 Work tenaciously to achieve results, sets high standards for self and others, and acts with a sense of urgency.

\xc2\xb7 Excellent verbal and written communication, collaboration, negotiation, and presentation skills

\xc2\xb7 Demonstrates an ability to explore positions and produce alternative solutions that result in outcomes acceptable to all parties.

\xc2\xb7 Demonstrates critical thinking in order to consider wider impact/implications as they relate to legal aspects of business transactions.

\xc2\xb7 Adapts to a fluid work environment with changing needs and priorities.

\xc2\xb7 Must be able to articulate and identify issues and to solve both complex and uncomplicated problems.
