KMB Law is seeking a Corporate Compliance Law Clerk with a minimum of 1-2 years of Corporate experience. The successful candidate will be organized, detail-oriented and able to demonstrate strong communication skills along with the professionalism to join our team.

Position Overview:

The position of Corporate Compliance Law Clerk is to provide compliance and annual maintenance support. This position must have experience in reviewing, updating and maintaining minute books for federal and provincial corporations, maintaining corporate databases, preparing documents for corporate compliance purposes, including the filing and coordination of Extra-Provincial filings, annual maintenance work, and provincial registrations.

Responsibilities include, among others:

Maintain and update corporate databases and manage electronic documentation related to compliance and annual maintenance Prepare annual minutes/resolutions, management bonus and dividend resolutions Draft and file annual returns, extra-provincial registrations, updates to directors, officers and corporate information Assist with business name registrations and corporate searches, as instructed by Corporate Law Clerk Manager Update and maintain compliance tickler system Conduct minute book reviews to identify and rectify deficiencies Ensure corporate documents and practices are compliant with statutory regulations Assist with digitization process of corporate records Liaise with clients and external stakeholders, such as accountants Work with Corporate Law Clerk Manager and Lawyers to complete post-closing organization of transactions Other duties as assigned
Qualifications:

Post-secondary education with a Law Clerk designation. 1-2 years experience of Corporate Law Excellent written and oral skills with the ability to multi-task and prioritize. Excellent knowledge of Microsoft Office and strong typing skills. Detail oriented with the ability to work well in a busy team environment as well as working independently. An added benefit would be competence in legal software, databases, and programs such as Ecore, Appara and ProLaw.
