SUMMARY

The Contracts Specialist will spend a significant amount of their time engaged in ordinary commercial transaction matters (i.e., preparing, reviewing and negotiating end user software license agreements, major account agreements, cloud services agreements, consulting agreements, vendor agreements, non-disclosure agreements and related contracts schedules and forms). The Contracts Specialist will take an active role in supporting the contractual needs of the sales and services team, as well as marketing, IT, business operations, human resources and the finance department. Additionally, the Contracts Specialist will play a key role in managing and continuously improving global commercial processes and solutions.

This position can remotely on the west coast in Canada.

RESPONSIBILITIES

  • Interacts with managers and employees at the company\'s numerous North American location(s), playing a key role in identifying potential obstacles and in helping move each sales and consulting opportunity forward.
  • Drafts and negotiates software licenses, cloud services agreements, service agreements, nondisclosure agreements and other technology agreements with customers and corporate partners.
  • Responsible for foreseeing and protecting the company against legal risks arising under local and US corporate laws and regulations.
  • Works closely with the Contracts Director Legal and any legal operations staff to help implement and continuously improve commercial operational processes, including specifically the process for managing North American commercial transactions workflow.
  • Helps in the development and improvement of internal contract guidelines, escalation matrixes, template agreements for moderately complex types of agreements (e.g. cloud services agreements and software license agreements).
  • Will provide education and training of sales force and other staff on moderately complex legal policies and procedures.
MINIMUM QUALIFICATIONS
  • Four-year degree
  • Minimum of three years of contract drafting and negotiating experience
  • Excellent communication skills and superior intuition. Strong ability to communicate effectively with a wide variety of audiences, including senior management and key external stakeholders and proven ability to engage, influence and align stakeholders
  • Capacity to think strategically to identify issues and develop long-term solutions
PREFERRED QUALIFICATIONS
  • Minimum of three years of experience in software or technology licensing field
  • Experience in at least one of the following areas: process improvement or intellectual property (copyright, trademark, trade secrets and/or patents)
