  • Utilize workflow tools and process, execute systematic administration of contract (creation, logistics tracking and archiving).
  • Create contract solutions that minimize risk and provide value to Philips and its customers
  • Partner with field personnel and internal departments to evaluate and negotiate sales/service contracts across the portfolio
  • Recommend and implement improvements of policies and processes to ensure that proposal and contract documents are aligned with company\'s business controls, policies and procedures.
  • Advise field teams and management of contractual rights, obligations; provide interpretation of terms and conditions identifying solutions
  • Understand the contract content and drive related actions (e.g. fulfillment, invoicing) across all channels and ensure accuracy of calculations and payments within contractual terms and conditions can be operationalized.
  • Support contract performance monitoring, assist with the evaluation of gaps between current contract value and required contract value to ensure customer meets its contract compliance obligations
  • Support internal and external audits
  • Contract review and control process \xe2\x80\x93 review sales contract completeness and ensure compliance with SOX ICS Audit controls
  • Partner with sales support, order management, project manager, proposal management, and other functional groups to ensure efficiency and consistency in contract fulfillment and execution. Evaluate and Monitor Contract Execution
  • Drives continuous improvements applying LEAN
  • Behavioral: Daily demonstration of the highest level of Philips behaviors
Experience and Technical Requirements:
  • Contract Negotiation for all modalities for Canada (includes Equipment and Service)
  • Able to analyze and develop insights for assigned portfolio and meet business targets and timelines, by proactively driving contracts and files to completion
  • Has knowledge of contract management processes and guidelines.
  • Ability to draft various contract documents including MOAs, LOAs, Amendments, Addendums, Make Rights, Service and Sale Agreements, Master Agreements, notices, letters, and other binding and non-binding documentation etc. to ensure compliance as well as meet business and customer needs
  • Retain accountability and oversight on overall contract compliance with internal and external guidelines, policies, and legislation
  • Ability to evaluate contract risk
  • Provide subject matter expertise and interpretation of contractual terms
  • Contribute to RFP development by providing stakeholders with timely risk Assessment, mitigation and recommendations for transactions, contractual documents, and other obligations
  • RFP & Contract Financial and Legal Review and First Level Approval
  • Support RFP team by reviewing RFP responses and questions for compliance to Philips\xe2\x80\x99 legal, risk, financial and regulatory parameters
  • Retain strong legal, regulatory and financial knowledge by interacting with and seeking guidance from the Legal Counsel, Director of Quality and Regulatory Affairs and Head of Finance for Philips Canada, in order to keep this knowledge up-to-date
  • Understands when to initiate required internal actions, monitor the progress and push for the deliverables.
  • Escalate effectively while actively providing recommendations
  • Ability to Develop professional expertise, applies company policies and procedures to resolve a variety of issues.
  • Ability to drive sales, finance, legal, and other contributors to conclude contracting and meet forecast by quarterbacking contracting initiatives
  • Bachelor\xe2\x80\x99s degree, paralegal certification, or JD
  • Commercial and Contract Management Practitioner Certification is preferred
  • Ability to use tools such as SFDC, MS Office, Apttus, Teams
