As a member of the Novo Nordisk Canada (NNCI) Executive Team, the Vice President of Legal, Ethics and Compliance sets strategic direction and has direct responsibility and accountability for managing the Legal and Compliance functions, including legal affairs, privacy, corporate governance, intellectual property, ethics and compliance, and compliance risk management and reporting. The position reports directly to the President, Novo Nordisk Canada and leads a team of ten.

The Vice President partners and works in close collaboration with the NNCI President, NNCI Executive Team, North America Organization (NAO) Chief Ethics and Compliance Officer, and the North America Organization General Counsel to influence operational plans, budgets, strategy and successfully drive NNCI business growth in a sustainable way.

This leader creates an environment that develops and retains top-caliber talents and demonstrates a commitment to collaboration across the organization. It serves as an active partner to all NNCI functions and members of the NN Canada Executive Management Team and is responsible for influencing strategy and execution at affiliate level (as member of the Executive Team), and Global level as a member of global teams.

ESSENTIAL FUNCTIONS

President and Executive Team

  • Supports the President (NNCI) in fostering the corporate vision and driving strategic initiatives.
  • Actively participates as a member of the NNCI Executive Team, which is responsible for setting NNCI strategy and managing Novo Nordisk\'s robust and growing operations in Canada. This role will be responsible for ensuring that such growth is achieved in accordance with applicable laws and an ethics and compliance mindset that is aligned with Novo Nordisk (NN) global corporate values and NNWay.
  • Ensures that the NNCI Executive Team, NAO General Counsel and NAO Chief Ethics & Compliance Officer are kept apprised of legal and compliance matters.
Ethics and Compliance
  • Responsible for the strategy, direction and for maintaining an effective ethics and compliance program, consistent with industry standards and NN\'s Global Ethics & Compliance (E&C) strategy.
  • Oversees development of policies and procedures and associated education and training, aligned with NAO and NN Global standards as appropriate. Conduct monitoring against local and corporate compliance requirements, prepare for audits, utilize data analysis to identify outliers and supports internal reporting of compliance related issues, and supports the development and implementation of compliance systems.
  • Defines local standards for appropriate business conduct and oversees investigations of alleged wrongdoing and ensuring ethics compliance through a robust planning and governance process to continue to foster a culture committed to high ethical standards.
  • Champions a proactive approach to ethics and compliance that is focused on collaborative partnership with lines of business, education, prevention, risk mitigation and effective, solutions-oriented guidance.
  • Responsible for the local Ethics & Compliance Risk Management Program, including regular reports to internal governance (e.g., NAO E&C); responsible for aligning and coordinating with other risk management functions (e.g., Finance) to provide a cohesive enterprise risk report to NNCI Executive Team and NAO on risks and efforts to mitigate those risks.
  • Privacy: This role serves as NNCI\'s Privacy Officer and is responsible for the development, management, and operation of NNCI\'s Privacy Program and in collaboration with the NAO Privacy Officer. This includes ensuring that NNCI complies with Canadian privacy regulation and internal Novo Nordisk data protection requirements; approving governance policies and practices regarding data ethics and the protection of personal information; overseeing privacy impact and risk assessments; and advising on breach responses, remediation, and corrective actions, in collaboration with Novo Nordisk\'s NAO Privacy Office.
Legal
  • Intellectual Property: Responsible for managing and providing strategic advice on local aspects of intellectual property matters, including PMPRB compliant pricing, litigation and patent and data protection strategies.
  • Serves as NNCI\'s corporate secretary and oversee corporate governance activities including provincial filings and shareholder resolutions.
Leadership and Development of People Management
  • Leads, set strategy for department and ensures effective people management, including development goals and annual goals and measurements that are consistent with priorities of the business, and that interim reviews are held so that their work is focused on those priorities, and they understand their level of accountability for results and measurements process.
  • Ensures that Individual Development Plans (IDP) are completed and include completed learning and aspirations for all employees to enable achievement of goals, and career development.
  • Accountable for forecasting and delivering on annual department budget. Evaluates appropriate use and allocation of resources to ensure the attainment of unit, department, and company goals.
  • Through leadership and coaching demonstrates the NNWay and imbeds the NNWay of leadership and four leadership themes into the unit\'s work and plans.
QUALIFICATIONS

Education and Certifications
  • Post graduate Canadian common law degree (LL.B or J.D.) and licensee in good standing with the Law Society of Ontario.
Work Experience
  • 10+ years of combined legal/ethics/compliance experience gained from a leading law firm or corporation in the pharmaceutical or other highly regulated industry, including significant understanding of and experience dealing with compliance issues facing pharmaceutical companies.
  • 7+ years successfully leading and building teams.
  • Senior Leadership experience an asset.
  • IP and/or Privacy experience is an asset.
Knowledge, Skills, and Abilities
  • Business-focused, solutions-oriented with strong interpersonal skills and initiative to work in a fast-paced, intellectually challenging, and collegial environment.
  • Proven leadership and management experience, business acumen, strategic planning, and decision-making skills.
  • Deep understanding of the business (commercial and medical strategies); to ensure a fit for purpose program.
  • Experienced in collaborating with and influencing internal and external stakeholders, including government agencies; experience acting as a credible and respected spokesperson for all compliance matters.
  • Strong communications skills. Able to effectively collaborate and communicate with and present to senior management and employees across all levels of the company.
  • Uncompromising ethics and high standard of personal integrity.
