Job Description


Reporting to the Senior Vice President, Global Head of Compliance and Associate General Counsel, the Vice President, Legal & Compliance, Private Equity is a senior leader in the Compliance team supporting the Global Head of Compliance in the development and implementation of a global compliance framework and strategy including specific responsibility for coordinating the compliance function for OMERS Private Equity in North America and Europe including OMERS Capital Solutions, Growth Equity and Ventures (collectively, \xe2\x80\x9cPrivate Equity\xe2\x80\x9d).

As a member of the team, you will be responsible for:

Compliance Monitoring Program:

Overseeing and managing the compliance monitoring program within OMERS Private Equity (including OMERS Capital Solutions, Growth Equity and Ventures).

Managing, supporting and developing a team of lawyers and compliance professionals in Toronto, Canada and London, UK supporting the Private Markets compliance programs in North America and Europe.

Managing legal and compliance regulatory and reporting requirements including with respect to applicable global securities regulators such as the SEC and FCA.

Managing audits and investigations into regulatory and compliance issues.

Monitoring new and emerging regulatory and legal requirements and instituting changes to the compliance program as necessary.

Investment Transaction Support:

Supporting Infrastructure and Private Equity deal teams on transaction due diligence, including Anti-Terrorist Financing, Anti-Money Laundering and Sanctions due diligence and Anti-Bribery and Corruption due diligence and risk assessments.

Providing asset management compliance support and ongoing compliance monitoring.

Supporting third party capital programs and asset syndications including providing regulatory advice, review of marketing materials, presentations and website content to ensure compliance with regulatory requirements.

Reporting:

Providing compliance reporting on a regular basis to the Global Head of Compliance, Senior Management and regulated entity boards.

Policy Management and Training:

Coordinating the development, review and administration of policies and procedures specific to Private Equity businesses including liaising with business leaders across OMERS.

Participating on behalf of Private Equity businesses in the development of enterprise-wide policies for OMERS as it expands its global footprint.

Supporting the compliance training program.

Qualifications:

Legal professional with 10 plus years of experience who has established expertise and a strong reputation within the corporate commercial field including transactional, regulatory and governance experience;

Extensive knowledge of capital markets regulatory framework and previous experience in a senior compliance role;

Experience with various regulatory regimes and regulators (particularly, the SEC and FCA) is highly desirable;

Previous experience in a management role and demonstrated experience mentoring and developing team members;

Demonstrated experience with change management;

Strong team player who possesses a consistent \xe2\x80\x9ccan do\xe2\x80\x9d attitude; hands-on; proactive, resourceful and self-directed;

Exceptional interpersonal skills and ability to build strong relationships with business leaders and investment professionals; brings judgement and high integrity;

Exceptional organizational skills and attention to detail;

Demonstrated analytical and problem-solving skills;

Strong written and verbal communication skills and comfortable engaging with the business to develop effective relationships; and

Natural collaborator, able to build consensus and influence effectively by building strong, trusting relationships with colleagues and the business.
