OVERVIEW:


IO Legal Services is seeking up to three (3) summer students for an approximate four (4) month term commencing in May 2023 to join its collegial group of legal counsel and staff. The successful candidates will gain exposure to different areas of law and students will work with multiple legal counsel in different areas of practice in the Legal Services division.

Students will be dedicated to one of the following teams during the term:
A. Transaction Legal & Commercial Resolutions
B. Real Estate & Leasing
C. Lending & Corporate Legal

What You Will Be Doing:

  • Major Responsibilities:
  • Conduct research
  • Review and analyze federal and provincial statutes and regulations applicable to IO and its businesses
  • Prepare memoranda on discrete legal issues at the request of legal counsel
  • Assist with drafting and updating documents

  • A) Transaction Legal & Commercial Resolutions
  • Assist the Transaction Legal (TL) team with active public-private partnership (P3) and traditional construction projects. Work will include reviewing, consolidating, and updating template documents. In addition, summer students will have the opportunity to work on innovative commercial projects (e.g. digital transformation mandates) and development projects (e.g. transit-oriented communities).
  • Assist the Commercial Resolutions Group with managing and responding to claims, including the administration of the dispute resolution procedure, and assisting with potential settlements.
  • Shadow legal counsel on an active construction file (e.g. attend client meetings, attend negotiation meetings with contractor counsel, prepare meeting notes, complete discrete deliverables).
  • Assist in drafting of closing documents and other internal procedure documents.
  • Assist in the analysis and implementation of commercial decisions in respect of IO\xe2\x80\x99s continuous improvement initiatives.
  • Conduct research and provide analysis on a variety of legal and risk matters, in particular related to corporate, real estate, contractual, procurement, project finance and/or construction matters.

  • B) Real Estate & Leasing Management
  • Assist in the review and analysis of lands title searches and title documents.
  • Assist in the preparation of purchase agreements and closing documents.
  • Assist in the review and analysis of leases and related lease documentation.
  • Assist in the preparation of business case for approvals under the Financial Administration Act.
  • Conduct extensive legal research and provide analysis on a variety of matters.

  • C) Lending & Corporate Legal Team
  • Assist with various corporate governance matters, including conflicts of interest, non-disclosure and confidentiality agreements, insurance, corporate policies.
  • Conduct legal research on freedom of information and privacy, including supporting file processing activities.
  • Assist in the review and drafting of various corporate instruments associated with IO\xe2\x80\x99s loans program, including drafting closing documents, and conducting research related to secured lending and municipal matters.

What We Are Looking For:

  • At the start of the 2023 summer associate program, candidates must have completed their first or second year of a common law program
  • Strong work ethic, integrity, and sound judgement
  • Strong legal research, statutory interpretation, writing and analytical skills
  • Excellent oral and written communication skills, including the ability to clearly and concisely present arguments and ideas
  • Effective organizational, administrative and time management skills
  • Relevant experience in construction, corporate/commercial, real estate, commercial leasing, litigation and public and administrative law and an understanding of government operations will be considered an asset

The hourly pay for this role is as follow:

1st Year Student: $20/hour (You must have completed 1st year of a common law program)
2nd Year Student: $22/hour (You must have completed 2nd year of a common law program)


The positions are full-time hours (36.25 hours per week) for a 4-month term (May to August 2023)
