Job Title Senior Manager, Subsidiary Governance Office




































What is the Opportunity? As a Senior Manager, you will have oversight and accountability for the corporate governance of designated (regulated and unregulated) subsidiaries of Royal Bank of Canada. You will provide expertise and support on corporate secretarial and governance matters and ensure a consistent approach to corporate governance is applied to all designated subsidiaries aligned to local legal and regulatory requirements. You will implement a governance framework for designated subsidiaries, and will serve as project manager for certain department initiatives, as assigned. You may also play a key role in the creation, dissolution and reorganization of subsidiaries and lead and/ or provide support on executing transactions on behalf of the global SGO team What will you do?

  • Support the Head, SGO in establishing and maintaining effective policies, processes and procedures, within the enterprise Subsidiary Governance Framework, that allow the boards of designated subsidiaries to carry out knowledgeable and independent oversight of management.
  • Act as assistant secretary (and may in some cases act as corporate secretary) of designated subsidiaries having primary oversight and accountability for board governance, day-to-day subsidiary related queries and requests for information, and board activities (including planning and preparation of board and committee meetings, preparation of resolutions and minutes, and maintaining the corporate minute books).
  • Assist the subsidiary directors in managing the governance responsibilities of the boards and its committees, including independently preparing and conducting director on-boarding training.
  • Responsible for managing the records and data integrity of all information pertaining to designated subsidiaries, including data input into GEMS.
  • Monitoring emerging best practices relating to corporate governance and assist boards in implementing best and most appropriate governance practices, and monitor changes to local corporate legislation and guidelines that impact corporate governance, and review to assess impact to RBC\xe2\x80\x99s subsidiaries and development of associated action plans to address any gaps.
  • Provides assistance to all subsidiaries, responding to enquiries and sourcing solutions to issues on board protocols, board and committee meetings, directorships, orientation and training of new directors, preparation of documentation and other matters pertaining to board activities and corporate governance generally.
  • Lead and/or provide support in the creation, dissolution and reorganization of subsidiaries and executing transactions on behalf of SGO.
  • Serve as project manager on SGO projects as determined from time to time, including but not limited to transactions
What do you need to succeed? Must have
  • Qualified law clerk or paralegal with corporate services experience gained at a major law firm or equivalent experience or have substantial corporate governance experience in a regulated environment
  • Exercises discretion and confidentiality, is a team player, with the ability to impact and influence, and work across organizational boundaries
  • Excellent communication skills, writing and oral, with a high level of proficiency in Microsoft Windows and Microsoft Office suite.
  • Highly organized, able to easily shift priorities and manage multiple tasks and deadlines in a fast paced, high pressure and dynamic environment
  • Strong attention to detail and accuracy
