CHALLENGES AWAITING YOU Reporting to the General Counsel, you will handle corporate matters for the Innocap group. More specifically, in conjunction with the leadership team, you will be responsible for:


  • Contribute to the achievement of the business objectives by advising various parties on the legal aspects of corporate law and regulations related to the various activities and operations of Innocap and its subsidiaries located in Canada, the United States, and abroad;
  • Provide legal advice and intervene in corporate matters affecting the operations of Innocap and its subsidiaries;
  • Be in charge of internal corporate matters (such as, without being limited to, tax, labour, leases and insurance matters and interactions with the accounting and talent and culture departments) and special corporate projects (group restructuring, mergers and acquisitions);
  • Manage the intercompany and service providers relationships from a corporate standpoint, including drafting and maintaining service-level agreements, intercompany agreements and negotiating agreements with external service providers
  • Interact on an ongoing basis with the directors and shareholders of Innocap and manage the activities of the board of directors of Innocap and its subsidiaries, including committees
  • Organise and oversee the team in charge of the corporate secretarial activities of all of Innocap’s funds, located in Canada, the United States and abroad.
  • Ensure legislative and regulatory monitoring of corporate matters in all relevant jurisdictions, as applicable.

WHAT WE ARE LOOKING FOR
  • Bachelor's degree in law completed and member of a relevant Bar association for more than 10 years;
  • A minimum of 7 years of relevant experience in corporate law for corporate groups in several jurisdictions;
  • Knowledge of the corporate affairs relevant to corporations and partnerships in Canada and the US;
  • Experience in M&A transactions and corporate reorganizations;
  • Knowledge of the financial markets and interests in the business industry;
  • Ability to work as a team and collaborate, while having the ability to work independently;
  • Thoroughness and attention to detail;
  • French and English essential given the international nature of the work.
