Job Description

Shapiro Real Estate and Business Lawyers is a boutique law firm located in North York, specializing in real estate and business transactions. We are looking to add a Corporate/Commercial Law Clerk to our growing practice.Qualifications:

  • Thorough knowledge of legal procedures, statutes (such as Ontario Business Corporations Act, Partnership Act, and Business Names Act) and regulations applicable to corporate/commercial law;
  • Strong communication (both written and oral), interpersonal and organizational skills;
  • Ability to maintain professionalism in all communications with staff, clients, and third parties;
  • Ability to multitask and work with minimal supervision;
  • Law Clerk diploma or certificate from an accredited institute preferred;
  • Experience working with Cyberbahn, other legal programs/software, as well as Microsoft Office; and
  • Handling a high volume of files in a proficient and efficient manner
Responsibilities:
  • Assisting on corporate/commercial transactions, such as business formations (i.e., incorporations, partnerships, joint ventures, etc.), purchase and sale of businesses (i.e., share or asset purchases), financing transactions, reorganizations, commercial real estate transactions, etc.;
  • Familiarity with commercial leasing would be an asset but not required;
  • Transactional due diligence, including corporate/business name, PPSA, Bank Act, Bankruptcy/Insolvency, and litigation searches;
  • Preparation of Articles of Incorporation, Articles of Amendment, Articles of Dissolution and Articles of Amalgamation;
  • Preparation, maintenance and review of minute books and corporate records;
  • Preparation of annual returns, Form 1 Initial Return/Notice of Change, and other corporate notices, as required;
  • Preparation of business name and partnership registrations and renewals;
  • Preparation of resolutions for corporate/commercial transactions;
  • Preparation of PPSA financing statements;
  • Communications with clients, government agencies, other legal counsel;
  • Preparation of reporting letters and accounts; and
  • Other duties, as required
Job Type: Full-timeSalary: From $80,000.00 per yearSchedule:
  • 8 hour shift
Ability to commute/relocate:
  • North York, ON: reliably commute or plan to relocate before starting work (required)
Experience:
  • legal assistant: 1 year (preferred)
