Oxford Properties is looking for a highly motivated Senior Law Clerk to join our Oxford Legal team in Toronto. In this role you will be responsible for providing real estate transactional support to our Canadian legal team. To qualify for this role you must have at least 7-10 years' experience and demonstrated success in a similar role, preferably at a law firm or Property Management/Real Estate Investment Company with exposure to Canadian investments.

As Senior Law Clerk on the Oxford Legal team, you will be responsible for:

  • Providing general transactional clerk and real estate support to lawyers in connection with Canadian investment, partnership, development and internal/external financing transactions;
  • Organizing and providing support for transactions to achieve overall objectives of the Canadian-based legal team (e.g., processing and tracking NDAs for transactions, preparing and processing signature packages, etc.);
  • Reviewing tax steps memos, preparing and reviewing closing checklists and related resolutions, directions and agreements for Canadian transactions; maintaining draft closing agendas/schedules for Canadian transactions and ensuring compliance with purchase and sale agreement timelines;
  • Drafting and reviewing transaction closing documentation (authorizing resolutions, officer's certificates), reports and other matters relating to Canadian transactions; reviewing transaction closing documentation in collaboration with outside counsel;
  • Communicating with team members from other Oxford departments (Accounting, Tax, Finance, etc.) to coordinate approvals, closing documentation review and execution, and post-transaction requirements and processes;
  • Liaising with opposing counsel, negotiating transaction documents; communicating with outside counsel to ensure/facilitate exchange of documentation amongst the transaction team; ensuring adherence to closing timetable;
  • Drafting correspondence in connection with third party approvals (co-owners, trustees etc.) for Canadian transactions;
  • Understanding Oxford organizational structure and being a contact and preparing and processing KYC packages in connection with investment, banking and other transactions;
  • Alongside others at Oxford, being a key person for the organization, management and oversight of Oxford's internal document management system (iManage); and
  • Other administrative and law clerk tasks in support of the corporate legal team that may be incidental or ancillary to your role at Oxford.
To succeed in this role, you:

Have completed a law clerk program recognized by the Institute of Law Clerks of Ontario and are a member in good standing with the Institute of Law Clerks of Ontario;

Have at least 7-10 years' experience at a law firm in a transactional role or in a corporate environment (preferably at a Property Management/Real Estate Investment Company);

Have experience with real estate documentation in Canada and programs (e.g., title registration systems, land transfer tax, etc.);

Are a strong team member, who is willing to work in a team/collaborative environment and build strong relationships with lawyers, clerks, administrative assistants and other Oxford Legal team members; and Possess excellent written and verbal communication skills combined with the ability to communicate effectively across all levels;

Are proficient with computers, including Microsoft Office (Word, Outlook, One Note, Teams, Visio and Excel);

Will demonstrate strong attention to detail;

Have excellent organization and ability to work independently when required.
