Discover how you can make a difference in the lives of individuals, families and communities around the world. : About the business: The Board and Subsidiary Governance team within the Corporate Secretary\xe2\x80\x99s Department manages over 50 subsidiaries, including 7 regulated subsidiaries. This structure aligns with peer global financial institutions that have dedicated legal resources in subsidiary governance. The team has developed a Subsidiary Governance framework to facilitate the performance by directors of their fiduciary and other duties and responsibilities, to work collaboratively across many business units, and to collaborate with multiple stakeholders, within the context of corporate governance best practices. About the role: The Senior Law Clerk, Subsidiary Governance will report to the Director, Subsidiary Governance within the Corporate Secretary\xe2\x80\x99s Department. The successful candidate will demonstrate strong initiative, positive energy, and the ability to exercise sound judgment and flexibility, be an innovative thinker with superior organizational and time management skills and the ability to cope calmly and professionally with multiple demands in a high energy and changing collaborative work environment. Main accountabilities include all aspects of the Board and Committee meeting cycle, maintaining subsidiary shareholder registers and minute books. What will you do? Working collaboratively with the Director, Subsidiary Governance and peers to support Canadian Subsidiary Boards and the Corporate Secretary\xe2\x80\x99s Department, including:

  • drafting, reviewing, and updating procedures; and identifying and implementing continuous improvements to make procedures more efficient and effective
  • facilitating annual evaluations of the effectiveness of the Subsidiary Boards, and generating and analyzing results
  • assisting the Director, Subsidiary Governance with the review of board material and presentations, and acting as a resource to internal partners on expectations of directors on the substance, format, and presentation of meeting materials
  • assisting directors of Canadian subsidiaries by preparing annual year-end checklists to track directors\xe2\x80\x99 fulfilment of responsibilities set out in Sun Life\xe2\x80\x99s Subsidiary Governance Policy, the respective Subsidiary Board/ Committee Charters, and agenda items on Forward Agendas
  • drafting governance documents (e.g. resolutions and memos)
  • facilitating execution of minutes and resolutions by distribution via the OneSpan app for electronic signature, communicating with signers, tracking status, and archiving completed documents
  • maintaining signing authorities (e.g., general signing authority; banking signing authority; tax signing authority, investments signing authority) for Canadian subsidiaries, and updating authorized signatories by following approvals process set out in the respective signing authorization resolutions
  • maintaining subsidiary shareholder registers
  • responding to external auditors\xe2\x80\x99 requests (e.g., minutes, resolutions, etc.) and uploading material to their electronic portals (i.e., Deloitte Online; EY Canvas)
  • having accountability for team initiatives; managing complex matters and performing various other duties as delegated or assigned including leading/participating in special projects, as required
What do you need to succeed?
  • Post-secondary degree with 5+ years of experience or an equivalent combination of education and corporate secretary experience
  • Excellent computer skills (Microsoft Word, PowerPoint, Excel, Outlook)
  • General knowledge of Canada Business Corporations Act; Insurance Companies Act (Canada); Trust and Loan Companies Act; Ontario Business Corporations Act; OSFI guidelines
  • Ongoing education to stay current on applicable legislation, regulations, policies, and rules
Preferred Skills:
  • Law clerk designation is considered an asset
  • Experience in a Corporate Secretary\xe2\x80\x99s Department of a public company or a law firm is preferred
  • Experience in financial institution an asset
  • Experience administering Board Portal platform (Diligent Boards or Boardvantage) is considered an asset
  • Experience in corporate governance

The Base Pay range is for the primary location for which the job is posted. It may vary depending on the work location of the successful candidate or other factors. In addition to Base Pay, eligible Sun Life employees participate in various incentive plans, payment under which is discretionary and subject to individual and company performance.
