Sous la supervision generale du Chef des services juridiques (Canada), fournit des services de parajuriste et un soutien administratif aux avocats des Services juridiques mondiaux ( SJM ), aux analystes traites et aux clients internes, pour des dossiers de complexite moderee axes sur les questions touchant le droit des societes, la reglementation, les contrats et autres enjeux transactionnel. Responsable du respect des echeances et de la surveillance des depots et des dossiers urgents.

Principales fonctions



Collabore avec les avocats des SJM, les analystes traites, les parajuristes et les clients d'affaires en leur offrant un soutien de haute qualite, a valeur ajoutee et en temps opportun, en fournissant des services parajuridiques et administratifs de complexite moderee/avancee; repond aux attentes raisonnables des clients et respecte les echeances, voire les depasse. Assiste, selon les affectations, en temps opportun, a la preparation, a la soumission et a la tenue des registres corporatifs et juridiques, des declarations reglementaires et autres documents juridiques essentiels, tout en assurant l'indexation et le classement appropries de divers documents juridiques et de gouvernance corporative originaux. Assiste, selon les besoins, a la mise a jour et a la maintenance en temps opportun des diverses ressources de gouvernance d'entreprise pour les entites de RGA, tant au format electronique qu'au format papier. Maintient et met a jour le systeme d'imagerie des documents et des contrats de l'entreprise (y compris les traites), analyse et interprete les contrats et les traites afin de determiner et de lancer le flux de travail approprie pour la revision juridique et commercial, au besoin. Communique directement avec les clients et les reviseurs juridiques, au besoin, pour resoudre les incoherences et les retards dans le flux de travail et les procedures, en prenant des mesures proactives et correctives lorsque cela est necessaire ou approprie. Maintient, met a jour et apporte des ameliorations, selon les directives, aux sites SJM SharePoint/Sirion. Offre son soutien a la cloture des transactions, en collaborant etroitement avec les avocats et les clients afin de s'assurer que les renseignements et les livrables necessaires sont fournis en temps opportun. Aide a la surveillance continue des responsabilites relatives a la lutte contre le blanchiment d'argent et le financement du terrorisme. Agit a titre de commissaire a l'assermentation. Assiste aux autres projets et taches assignes.

Formation et experience



Baccalaureat d'une universite reconnue en droit ou dans un domaine connexe, ou diplome d'etudes collegiales (DEC) en technologie parajuridique ou experience de travail equivalente. Environ cinq ans d'experience a titre de parajuriste ou d'adjointe juridique dans un cabinet d'avocats ou au sein d'une fonction juridique d'entreprise. Connaissance approfondie des pratiques professionnelles des parajuristes, notamment des processus, des besoins des clients, des enjeux et des facteurs cles de l'entreprise ainsi que de l'application des meilleures pratiques. Capacite demontree a soutenir les besoins juridiques et commerciaux et a analyser des enjeux juridiques complexes et a elaborer des solutions

Competences et aptitudes



Solide connaissance de la terminologie, des concepts, des pratiques et des procedures lies aux documents juridiques et commerciaux. Excellentes competences en relecture et en correction d'epreuves. Experience en mise en page de documents et en formattage. Aptitude a la redaction de documents Excellentes competences en service client et en relations interpersonnelles. Capacite d'interagir et de travailler en collaboration et de maniere constructive avec des personnes a differents niveaux a l'interieur et a l'exterieur de l'organisation. Tres organise et axe sur les resultats, avec souci du detail. Capacite de s'adapter au besoin, de prendre des initiatives et de faire preuve de responsabilisation. Capacite de maintenir un haut niveau de confidentialite. Capacite d'acquerir de nouvelles competences et connaissances dans des technologies en constante evolution. Solides connaissances des applications de la suite Office de Microsoft et capacite de developper et de maintenir des modeles d'automatisation de documents. Competences en gestion du temps et capacite a respecter les echeances. Capacite a fixer des objectifs, a effectuer plusieurs taches simultanement et a etablir des priorites en fonction de la charge de travail. Competences de rechercher, d'analyse et de resolution de problemes Excellentes aptitudes en communication orale et ecrite en francais et en anglais. La maitrise de l'anglais est requise pour les raisons suivantes : + L'associe devra interagir quotidiennement, verbalement et par ecrit, avec des intervenants internes et externes situes a l'exterieur du Quebec (p. ex. au Canada, aux E.-U. et en Europe, Asie, etc.).
+ Les documents juridiques et commerciaux sont frequemment rediges en anglais en raison du portefeuille de l'entreprise et de sa clientele pancanadienne.
+ Les rapports au niveau de l'entreprise sont rediges en anglais.
Etre capable de bien travailler au sein d'une equipe et de participer a des projets d'equipe ou de service.

Under general supervision of Chief Legal Counsel, provides paralegal services and administrative support to Global Legal Services ("GLS") attorneys, treaty analyst(s) and business clients involving a moderate level of complexity with an emphasis on corporate, regulatory, contract, and transactional matters. Responsible for meeting deadlines and monitoring time-sensitive filings and matters.

Principal Duties



Collaborates with and supports GLS attorneys, treaty analysts, paralegals, and business clients by providing high-quality, value-added and timely paralegal and administrative services involving a moderate/advanced level of complexity; meets or exceeds reasonable client expectations and deadlines. Assists, as assigned, in a timely manner, in preparing, submitting and maintaining corporate and legal records, regulatory filings and other essential legal documents, while ensuring proper indexing and filing of various original legal and corporate governance documents. Assists, as assigned, in timely updating and maintaining various corporate governance resources for RGA entities, both electronic and paper-based. Maintains and updates imaging system for corporate documents and contracts (including treaties), analyzes and interprets contracts and treaties to determine and instigate appropriate workflow for legal and business review, as needed. Corresponds directly with business clients and legal reviewers, as needed, to resolve inconsistencies and delays in workflow and procedures, taking proactive steps and corrective action when necessary or appropriate. Maintains, updates, and provides improvements, as assigned, to GLS SharePoint/Sirion sites. Supports transaction closings, coordinating and working closely with attorneys and business clients to ensure that necessary information and deliverables are provided on a timely basis. Assists with ongoing monitoring responsibilities pertaining to AML-ATF. Serves as a Commissioner of Oath. Assists with other projects and duties as assigned.

Education and Experience



Bachelor's Degree from accredited university in law or related field, or Diploma of Collegial Studies (DEC) in Paralegal Technology or equivalent work experience Approximately 5+ years of experience as a paralegal or legal assistant in a law firm or corporate legal function Advanced level of paralegal knowledge including processes, client needs, key business issues and drivers and application of best practices Demonstrated ability to support legal and business needs and analyze advanced legal issues and develop solutions

Skills and Abilities



Solid knowledge of legal and business document terminology, concepts, practices, and procedures Excellent review and proofreading skills Experience in document formatting and page layout Aptitude for drafting documents Excellent client service and interpersonal skills Ability to interact and work collaboratively and constructively with people at various levels within and outside the organization Highly organized and results oriented with attention to detail Ability to be flexible when needed, take initiative, and demonstrate accountability Ability to maintain a high level of confidentiality Ability to acquire new skills and knowledge of changing technologies Proficient knowledge of Microsoft Office Suite applications with an ability to develop and maintain document automation templates Time management skills and ability to meet deadlines Ability to set goals, multitask and prioritize workload Investigative, analytical and problem-solving skills Excellent oral and written communication skills in French and in English. English proficiency is required for the following reasons: + The associate will need to interact daily, both verbally and in writing, with external and internal stakeholders located outside Quebec (e.g. in Canada, US, and EMEA).
+ Legal and commercial documents are frequently written in English due to the Company's portfolio and pan-Canadian client base.
+ Enterprise-level reports are written in English.

Compensation Range:




$68,200.00 - $85,250.00 Annual
Base pay varies depending on job-related knowledge, skills, experience and market location. In addition, RGA provides an annual bonus plan that includes all roles and some positions are eligible for participation in our long-term equity incentive plan. RGA also maintains a full range of health, retirement, and other employee benefits.
