TingleMerrett LLP is currently hiring a Corporate Securities Legal Assistant to cover an 18-month maternity leave. This opportunity offers the possibility of transitioning into a permanent role.

The successful applicant will be responsible for independently supporting lawyers in their day-to-day legal practice. The individual will have strong work ethic, be collaborative, professional, positive and interested in their work. The candidate must have intermediate to advanced level skills. The candidate must be knowledgeable of the security's regulatory framework; rules, procedures and documents required for a variety of transactions such as public and private and debt financings; offering documents, annual and special general meetings and proxy related materials; corporate organization and reorganization among other transactions; equity-based compensation structures and related corporate documentation.

Hours of Work:



Monday to Friday from 8:30 a.m. to 4:30 p.m.

Full-time (18-month maternity leave coverage position with the potential to grow into a permanent role)

Primary Responsibilities:



Performing complex editing and formatting for correspondence and documents. Preparing, completing and managing securities filings and related matters, including electronic filings made through the following systems: SEDAR+/SEDI, BCSC eServices, OSC's Electronic Filing Portal, TSX Venture Exchange (TSXV) Portal, Canadian Securities Exchange (CSE) and CDS (CUSIP applications). Preparing, completing and managing other securities filings with respect to: Exempt distributions (e.g. Form 45-106F1), securities commissions applications and TSXV and CSE filings. Drafting routine securities filings and continuous disclosure documents, including Material Change Report, Early Warning Reports, Annual Information Forms, Management Information Circulars, etc. Manage minute books and assisting with public and private securities offerings.

Qualifications Include:



Graduate of a recognized Legal Assistant or Paralegal program, equivalencies will be considered. Minimum 3+ years of experience in an active securities environment. Advanced computer skills including Word, Excel, Outlook and document management software. Excellent verbal and written communication skills. Must have proof reading, writing, spelling and grammar skills.
The successful candidate will have a strong understanding of corporate securities terminology and experience in this field. They will be able to maintain an efficient electronic file system, have strong organization skills with exceptional attention to detail, and be able to follow instructions with minimum supervision to be able to thrive in a fast paced, professional team environment.
