The Junior Law Clerk will have extensive knowledge of Canadian federal and provincial corporate statutes and some comfort level reviewing materials prepared under statutes of other jurisdictions (e.g. Delaware, Netherlands).The Junior Law Clerk will be responsible for a defined set of existing OMERS Infrastructure subsidiaries as well as the establishment of new subsidiaries and the provision of relevant KYC information in support of transactions. The Junior Law Clerk will build and maintain strong relationships with colleagues in the corporate secretariat function at both Infrastructure and OMERS, as well as other key contacts within and outside the organization.ResponsibilitiesPrepare documents for incorporations, amendments, reorganizations, dissolutions, and amalgamationsDraft forms of resolutions and consents supporting corporate actions and flow of funds memorandaPrepare and file articles, by-laws, minutes and resolutions, registers and ledgers, share certificatesStay current on legislative changes and revise precedents and technical procedures checklists to ensure compliance with new legislation and changes to internal processesBe responsible for the completion and ongoing maintenance of extra-provincial licenses, annual returns, updating and/or renewing business name registrations, required government filingsUpdate and maintain information regarding entities in corporate secretariat databasesProvide support to transaction teams by responding to KYC requests in a timely wayAssist with project-based tasks \xe2\x80\x93 e.g. dissolutions, amalgamationsAssist internal clients including members of Finance and Tax, with respect to general corporate mattersMaintain relationships with external corporate secretariat functions associated with various Infrastructure investmentsOversee completeness and accuracy of execution documentsQualificationsPost-secondary education (Law Clerk diploma, Legal diploma or equivalent - will consider equivalent international designations)4-6 years of related experience in a law firm or in-house legal department, preferably at a large multinational companyCorporate governance experience related to corporations, limited partnerships and trusts as well as other forms of business associations in CanadaDemonstrated knowledge of laws/legislation, legal terminology, forms and documents related to Corporate practice areaDemonstrated experience handling legal/regulatory filingsDemonstrated accountability, holding self and others to high standardsDemonstrated ability to work independentlyDemonstrated organizational and time management skillsSound judgement, analytical thinking and problem solving skills with ability to assess situations, interpret and apply legislation and adopt an effective course of actionExcellent communication skills, written and verbalStrong attention to detailDemonstrated ability to meet deadlines and to work with minimal supervisionHigh proficiency in MS Word and ExcelBroad and in-depth knowledge of relevant legal references and their contentOur story:Founded in 1962, OMERS is one of Canada\xe2\x80\x99s largest defined benefit pension plans, with $128.6 CAD billion in net assets as of December 31, 2023.
