The Alberta Securities Commission is the industry-funded regulator responsible for administering the province\'s securities laws. It is entrusted with fostering a fair and efficient capital market in Alberta and with protecting investors. As a member of the Canadian Securities Administrators, the ASC works to improve, coordinate and harmonize the regulation of Canada\'s capital markets.


The Office of the General Counsel provides specialized legal advisory services to the Commission, the Chair, the Executive Director and staff of the ASC. In addition, it is charged with informing ASC Senior Management of emerging regulatory issues, and provides advice as required. The opportunity::
Reporting to the Chair and CEO, the General Counsel leads and oversees the operation of the Office of the General Counsel and is responsible for the direction and management of its employees. As a member of the ASC\xe2\x80\x99s Senior Management Committee (SMC), the General Counsel collaborates with other SMC members in the development and execution of the ASC\xe2\x80\x99s Strategic and Business Plans as outlined below. Key responsibilities include::

  • Developing, managing and mentoring direct reports including recruiting new employees, preparing performance reviews, and reviewing and approving performance reviews of other employees in the division.
  • Participating with other members of the SMC meetings in providing overall strategic and operational direction to the ASC and its employees.
  • Providing legal advice to the Commission Members and employees with respect to the application and interpretation of securities legislation, applicable corporate and commercial law and administrative law and corporate governance.
  • Representing the Commission on the Canadian Securities Administrators\xe2\x80\x99 (CSA) Legislative and Regulatory Coordination Committee, and liaising with General Counsel from other CSA member jurisdictions to coordinate and harmonize on relevant and appropriate matters
  • Acting as the primary contact with, and developing responses to inquiries from, the Minister, Deputy Minister and the staff of the Ministry of Finance, particularly with respect to the ASC\xe2\x80\x99s governance practices and legislative amendments, and novel, emerging and other matters of heightened interest.
  • Advising the Chair and the Executive Director of emerging legal and regulatory issues and trends, recommending solutions and approaches to deal with those issues and trends, and providing strategic advice on policy and operational matters.
  • Developing policies and advising Commission Members in the development of new rules and policies, as required.
  • Providing advice respecting the drafting of instruments, rules, forms, policies, etc. to implement new and revised requirements and guidance, and draft written submissions to the Minister, Deputy Minister and staff of the Ministry of
  • Finance for approval of rules requiring Ministerial approval.
  • Overseeing or conducting research and analysis with respect to corporate governance initiatives, including organizing and overseeing the development of surveys of market participants and forums to facilitate feedback.
  • Overseeing the development of legislative amendments.
  • Overseeing the Corporate Secretarial function.
  • Overseeing or directly providing legal services, including research, advice and document drafting (including third party contracts, general agreements, memoranda of understanding) for various operational departments as necessary.
  • Attending and participating on the Strategic Planning Committee (SPC) and Policy Coordination Committee (PCC).
The ideal candidate will possess::
  • A professional designation as a lawyer and a member (in good standing) of the Alberta Law Society.
  • A minimum 15 years of practice experience including experience in the securities field in Canada, with extensive knowledge of capital markets and securities regulation.
  • A minimum of 10 years of progressive senior level related experience with preference given to 10 or more years of management experience.
  • The proven ability to think strategically and explain complex issues and concepts.
  • Awareness and understanding of current issues affecting the evolution of securities regulation in Alberta and Canada.
  • A solid understanding of public interest in the regulation of capital markets and administration of securities laws.
  • Superior analytical skills, excellent judgment and decision-making skills.
  • Strong verbal and written presentation skills.
  • In-depth knowledge of corporate governance principles.
  • Tact, diplomacy and the ability to deal with senior officials of government and other regulators.
  • Leadership skills, strong work ethic and willingness to be proactive and innovative.
  • The ability to balance competing priorities and work collaboratively as part of a team in a dynamic environment.
  • Strong oral and written advocacy skills, and the ability to make persuasive public presentations
