THE ROLE*
This is a tremendous opportunity for an exceptional lawyer who is a leader in investment funds and asset management / mergers and acquisitions space to come in-house, join a team of high performing professionals and make a significant impact. As Managing Director, Associate General Counsel, you will report to the General Counsel, manage a team of Senior Legal Counsel\xe2\x80\x99s and serve as a trusted advisor to business partners. You will contribute to organizational success by providing accurate and timely legal advice to the Investment and Investment Finance teams regarding a variety of topics, including but not limited to the development of investment platforms, corporate securities regulation, investment management agreements, private capital fund investments and direct co-investments. Familiarity with institutional investors and pensions funds is required. You will have a minimum of fifteen years\xe2\x80\x99 investment funds and asset management / mergers and acquisitions experience including demonstrated working knowledge of investment management agreements, private placement memoranda, regulation and mergers and acquisitions. The ideal candidate comes from a top-tier Toronto and/or international law firm, investment management firm, or pension fund and has demonstrated strong commercial judgment and leadership experience. Due to COVID-19 this role is hybrid and based in downtown Toronto with Work-From-Home flexibility (~2 days in office). *
SPECIFIC ACCOUNTABILITIES:*

  • Identify and recommend procedures and practices to protect UPP from undue liability and to assist with risk assessment and control
  • Partner and advise lines of business with sound counsel on transactional and other legal matters
  • Work directly with internal Investment, Investment Finance, Compliance, and other departments to provide proactive and creative legal and business solutions
  • Manage, coach, and develop team members
  • Supervise senior legal counsel in investment management, fund and corporate related matters
  • Manage responsibilities and projects including contracts negotiation and drafting, corporate policy development and application, investment matters, and regulatory compliance collaboratively with business partners
  • Advise colleagues and other cross-functional stakeholders on legal issues and risks, approval processes, organizational policies, frameworks and procedures
  • Participate in transactional negotiations and post-merger integration and transformation
  • Act as quality control in the continuous improvement of standard form agreements, legal processes, and repositories of legal knowledge
  • Monitor emerging legal and regulatory requirements in corporate, securities, pension investment and governance matters and proactively assess their impact and recommend changes to the General Counsel
  • Assist the General Counsel regarding governance matters, Board of Trustee and Committee meetings and related
  • Work with external legal counsel as required from time to time
  • Promote integration, partnership and collaboration across legal, governance, and other business functions
  • Contribute to UPP\xe2\x80\x99s reputation as a respectful employer, partner and participant in the financial sector
  • Other duties as required
QUALIFICATIONS & EXPERIENCE:
  • Graduate from an internationally recognized law school (LLB/JD)
  • A member in good standing with the Law Society of Ontario
  • 15+ years of post-call experience in relevant corporate commercial and/or securities law
  • Experience in the pension fund or broader investment management sector a strong asset, including in evaluating the legal risk of investment strategies and transactions (different types of fund manager relationships and direct/co-investment transactions)
