BPM is searching for a dynamic and collaborative Firm Counsel. This newly created role will support contract review and negotiation, claims management and compliance, corporate governance, risk management, M&A and a broad variety of transactions. The Firm Counsel will report to the General Counsel. If you enjoy working in a fast-paced firm, with a collaborative environment, this is the role for you!

RESPONSIBILITIES:

  • Draft, review, edit and negotiate contracts inclusive of intellectual property agreements, master services agreements, client engagement letters, marketing agreements, confidentiality and other business agreements.
  • Assist the General Counsel with corporate agreements, key employment and partner agreements, banking and credit agreements, leases, construction contracts, letters of intent, firm related partnership agreements, corporate governance documentation and subsidiary management.
  • Assist with claims management including interactions with insurance carriers, management of client issues, responses to subpoenas, preparation of settlement and release documents.
  • Participate in formulating and implementing business transactions.
  • Assist in managing the firm’s professional liability, general liability, cyber, D&O and other insurance policies.
  • Perform legal research and prepare related memoranda and reports.
  • Assist with compliance related to AICPA, California and other states’ and SEC accountancy rules, and assist with investment advisory and wealth management laws and regulations.
  • Advise regarding the management of firm risk across the enterprise (IT, Finance, Human Resources, Marketing, Privacy, Cybersecurity).

REQUIREMENTS/QUALIFICATIONS:

  • Juris Doctorate Degree from an accredited law school with an active license to practice in California.
  • Five years prior experience as a business attorney with a law firm practicing one or more of intellectual property, corporate, tax or general business law.
  • Five to eight years of professional legal experience. Prior CPA experience or inhouse counsel experience is a plus.
  • Proven superior legal skills, including excellent oral and written communication, legal analysis and negotiation skills.
  • Strong business acumen.
  • Advanced contract drafting and negotiations skills with the ability to develop creative solutions.
  • A high degree of professional ethics and integrity.
  • Proficient in MS Office Suite.
