As we continue to expand and diversify our portfolio, we are seeking a highly skilled and dedicated Corporate Secretary to join our dynamic team.

As the Corporate Secretary, you will play a crucial role in providing efficient and effective support to our executive management and board of directors. You will be responsible for managing corporate governance processes, ensuring compliance with legal and regulatory requirements, and maintaining accurate and up-to-date corporate records. Your meticulous attention to detail, exceptional organizational skills, and ability to work collaboratively across departments will contribute to the smooth operation of our company.

Responsibilities:

  • Provide efficient administrative support to the Board of Directors and Board Committees, ensuring smooth operation and coordination of meetings.
  • Prepare and coordinate board and committee meetings, including managing agendas, resolutions, and related materials. Utilize appropriate software for administration purposes.
  • Assist in organizing and overseeing various aspects of the annual shareholders meeting, including logistics, volunteer coordination, and preparation of necessary materials.
  • Manage securities compliance and ensure maintenance of NYSE and TSX listings. Complete, coordinate, and maintain required SEC filings and other regulatory notices.
  • Support public filings, such as 43-101 reports, annual meeting and information circulars, AIF, quarterly and annual reporting.
  • Assist the Disclosure Committee by reviewing public disclosures, forward-looking statements, and website information.
  • Oversee the D& O Questionnaire process, including updating questionnaires and reviewing completed questionnaires for disclosure issues.
  • Aid in handling related-party transactions.
  • Support the corporate audit function and participate in related activities.
  • Maintain the corporate data room and ensure proper management of corporate records.
  • Handle annual officer and director filings, by-laws, and parent and subsidiary records.
  • Assist with budget management and purchasing controls.
  • Provide support in corporate investigations.
  • Assist with transfer agent and equity plan administration matters, including insider filings, equity-plan agreements, and blackout dates.
  • Oversee subsidiary management and coordinate materials for board meetings.
  • Respond promptly and accurately to client inquiries and offer practical legal advice.
  • Independently handle routine matters with proficiency.
  • Stay updated on relevant corporate laws, legal legislation, regulatory issues, and anticipate trends and changes.
  • Supervise outside counsel and review their work product when necessary.
  • Collaborate with colleagues to support business objectives and uphold corporate governance practices.
  • Maintain high standards of excellence in work processes and outcomes, adhering to company policies and regulatory compliance.
  • Provide assistance with commercial agreements, leases, employment contracts, software, and other related matters.
  • Perform other duties as assigned.
Requirements

Requirements:
  • A minimum of 5+ years of relevant experience is required
  • Experience in a law firm and in-house with a public company is considered an asset
  • A law degree from an accredited law school and a valid license to practice law are an asset
  • Proficiency in U.S. (SEC) and Canadian reporting and filing requirements is expected.
  • Strong verbal and written communication skills, along with adept interpersonal skills, including the ability to assess the implications of proposed actions/arguments and respond appropriately.
  • Exceptional interpersonal skills are essential for effective collaboration across teams and for interacting with management and the board of directors. The ability to establish and maintain positive relationships internally and externally is important.
  • Capable of making practical, timely, and solution-oriented decisions while demonstrating excellent judgment.
  • Experience in contract drafting, negotiation, and managing complex legal projects.
