JR100848 Chief Legal Officer and Corporate Secretary The Role: The Chief Legal Officer and Corporate Secretary leads the legal services portfolio and provides support to the Board of Directors. The position works closely with the CEO and Board Chair. Key Responsibilities

  • Provides practical, solution-oriented, risk-based legal advice on a broad spectrum of the agency\xe2\x80\x99s operational and strategic work.
  • Engages and manages external legal counsel, as necessary.
  • Advises the Board on corporate governance matters, maintains corporate minute book, drafts resolutions, and attends all Board and Board Committee meetings. Leads meeting scheduling, agenda preparation, creation and review of meeting materials, for Board of Directors meetings and the Board\xe2\x80\x99s Governance and Human Resources Committee meetings.
  • Acts as a strategic partner with the President and Chief Executive Officer and other PHO executive team members, to define, action and model the agency\xe2\x80\x99s vision, mission and values and actively contribute to developing and articulating a vision for PHO\xe2\x80\x99s role in the public health sector. Champions the organization\xe2\x80\x99s values and ethical standards in all agency business.
  • Develops and maintains various corporate and Board policies, processes and practices to enable the organization to meet its obligations and accountabilities as a Crown agency, and follow best practices in board governance.
Knowledge and Skills
  • Demonstrated knowledge of relevant legal practice areas, including Crown agency governance (relevant legislation, regulations, and government directives), procurement, conflict of interest, freedom of information and privacy law in the health sector, information technology, and contract law.
  • Ability to communicate complex legal concepts to a variety of audiences
Education and Experience
  • Membership in good standing as a lawyer with the Law Society of Ontario.
  • Minimum 5 years corporate commercial legal experience, preferably in the public and/or healthcare sector.
  • Previous experience as a corporate secretary, preferably in the public and/or healthcare sector.
  • Proven ability to produce high-quality work under tight deadlines with changing and competing demands
  • Experience with government decision-making processes and procedures is preferred.
  • Proven expertise in developing and maintaining executive level relationships with senior government officials, members of Boards of Directors and health system leaders.

  • Skilled in building, supporting and inspiring multidisciplinary team members with varied expertise and experience.
