ATB's Loan Syndications platform is a multi-faceted operation with significant expertise and a strong presence in the debt financing markets in Alberta. As both arrangers and underwriters, we provide structuring and distribution expertise in support of the financing requirements of our clients, which include both public and private corporations as well as financial sponsors. Industry expertise includes Oil & Gas, Real Estate, Transportation, Mining, Multimedia, Manufacturing, Food & Forestry, Project Financing, Financial Services, and Telecommunications.

The Associate Director, Loan Syndications is responsible for assisting the Managing Director and Directors in winning and executing syndication lead mandates in the Alberta marketplace. The Associate Director will be mainly focused on execution, including the following:

  • Providing support on all new deals by preparing and/or reviewing syndications materials such as confidential information memorandums, term sheets, lender presentations, financial models, and other marketing materials.
  • Becoming the main point of contact for the Client, Relationship Managers and Lenders on selected amendment transactions.
  • Running/executing the Loan Syndications process from beginning to end on selected amendment transactions.
  • Managing transaction timelines accordingly.
  • Building and maintaining a strong network of syndication partners as well as relationship managers.
The successful incumbent will be responsible for the following job duties:
  • Contributing to all aspects of the syndication process when ATB is the Lead and Agent Bank.
  • Helping determine optimal capital structure for clients and jointly pitching proper debt solutions and other ancillary banking and capital markets products.
  • Participating in the negotiation, structuring, and syndication of multi-bank transactions where ATB is the lead/agent bank.
  • Staying abreast of current market conditions and trends to provide market feedback regarding transaction structures and pricing to deal teams, credit officers, and other internal parties.
  • Composing and/or reviewing various internal memos required to support syndicated transactions (syndication strategy, fee accounting, etc.).
  • Preparing and/or reviewing ATB marketing materials and maintaining current templates for such materials.
  • Assisting with the preparation and negotiation of legal documents such as fee letters, non-disclosure agreements, mandate agreements, credit agreements, etc.
  • Conducting market screening for potential transactions prior to launch to assess syndication risk and working with the client to target lenders to invite to the transaction.
  • Coordinating closing activities with third-party lenders, business units, and internal functional areas.
  • Tracking, answering, or coordinating answers to diligence questions from third-party lenders in consultation with senior members of the Loan Syndications Group and relevant business units.
  • Assisting with the development and training of junior staff.
  • Supporting and leading internal Relationship Managers on existing syndicated loan deals.
  • Assisting in reviewing new lead opportunities.
  • Preparing and/or reviewing syndications materials such as confidential information memorandums, term sheets, lender presentations, financial models, and other marketing materials and distributing as needed to prospective lenders.
  • Building and maintaining a strong network of syndication partners, including local and regional banks, and loan syndications partners, and other financial institutions.
  • Actively sourcing loan market data of comparable transactions and competitors.
  • Assisting senior members of the group with all internal matters and with all other responsibilities as required by the group.
  • Developing a comprehensive knowledge of products and current market terms and conditions.
Requirements:

As the ideal candidate you possess:
  • Bachelor's degree in finance, accounting, or another business-related focus.
  • 5+ years of related experience.
  • Demonstrated track record of high academic achievement.
  • MBA, CFA, and/or a formal credit training program, a plus.
  • Prior corporate, commercial, or investment banking experience preferred
  • Excellent communication skills, both verbal and written.
  • Excellent attention to detail.
  • Ability to review extensive and complicated reports and distill key findings into executive summaries efficiently and accurately.
  • Ability to learn and apply complex concepts quickly.
  • Strong organizational skills with demonstrated track record of meeting deadlines and effective time management when managing multiple priorities and tasks.
  • Possess excellent writing skills.
  • Team player possessing an outgoing nature with excellent sales, negotiation, and closing skills.
  • Working knowledge of Microsoft Office Products including Excel, PowerPoint, and Word is required.
