The opportunity

This remote role within Ontario is a full time (37.5 hrs/week) 4-month contract opportunity for a junior lawyer with 1+ years\' experience drafting and reviewing legal contracts. Reporting to the General Counsel and Corporate Secretary, you\'ll work and learn alongside a collaborative and inclusive legal and estates team at one of Canada\xe2\x80\x99s largest health charities.

An excellent short-term opportunity to learn about the Not-for-profit industry, the assistant legal counsel will support the day-to-day management of legal and regulatory compliance and mitigation of risk. Key accountabilities include contract reviews, providing legal advice to business units and supporting Heart & Stroke\xe2\x80\x99s enterprise risk management framework.

How you will make an impact every day

Manage contract reviews.

  • Engage with business early in the process to provide strategic advice and guide negotiations and terms prior to contract drafting
  • Provide guidance and insight to business units on legal obligations and responsibilities and lead contract reviews in a timely fashion
  • Support negotiations with third parties on behalf of the Foundation to represent its interests
  • Balance and address both legal and business concerns
  • Ensure Foundation interests are protected
  • Communicate reasoning to business units
Support negotiations of agreements with third parties.
  • Work with internal stakeholders to identify priorities
  • Provide legal advice based on overall goals
  • support communications with opposing counsel and third parties to represent the interests of the Foundation and effectively negotiate agreements.
  • Effectively communicate Foundation interests to external stakeholders.
Conduct legal research and draft memos where required to advise business units and research teams.
  • Advise stakeholders on regulatory developments and provide business appropriate and practical solutions Identify the relevant issues.
Support Enterprise Risk Management
  • Support drafting and updating of risk registers with business units and understanding and advising on risks associated with implementation and execution of programs and initiatives.
Who we need
  • Law Degree
  • Called to the Ontario Bar Association and Member in good standing with the Law Society of Ontario
  • 1-2 years experience in a firm, private practice, or in-house environment in the province of Ontario
  • Experience legal drafting and contract review skills
  • Critical and analytical thinking is essential
  • Effective oral communications skills; ability to influence and communicate effectively internally and externally at all levels;
  • Ability to balance and address both business and legal considerations
  • Positive, team player ; motivated and proactive
  • Strong analytical, drafting, influencing and negotiation skills
  • Capable of multi-tasking and managing multiple projects by being flexible and organized
  • Strong decision-making / problem solving ability while remaining client focused and solution oriented.
  • Competency in Microsoft Word, Excel, Power Point and virtual technologies for communication (ie -MS Teams)
  • Ability to work from a home office in the province of Ontario
