As Environmental, Social and Governance (ESG) increasingly becomes core to the Private Equity and Pension fund (PEP) value creation narrative, ESG indicators will need to be considered with the same veracity as financial figures to ensure the insights they deliver are trustworthy and actionable. Doing this successfully requires PEP firms to have a heightened understanding of the opportunities and risks associated with ESG factors that impact investment decisions and asset valuations.
A strong ESG diligence program can create value and a premium on exit, whilst a low quality ESG program or unaddressed ESG risks can restrict financing options and command a discount to a purchase price. Our ESG transactions and due diligence practice embeds ESG into the transaction process so clients can maximize both value protection and value creation through improved ESG performance.
The opportunity

As a Senior Manager, you will lead the development of the premier ESG due diligence practice in Canada. Leveraging your relationships and connections alongside Partners in Parthenon ESG Strategy and Strategy and Transactions, you will engage new clients and deliver exceptional engagements that build EY\xe2\x80\x99s ESG due diligence reputation. With knowledge and experience in transactions or due diligence, you will leverage an existing group of ESG and transaction practitioners and refine internal resources to create an effective team that delivers impactful client support.
Your key responsibilities

As a Senior Manager working primarily with EY-Parthenon and Strategy and Transactions groups, you will act as the principal advisor and due diligence lead to win and execute client engagements. Your team will work through the lens of ESG to understand ESG profit drivers and trends, challenge assumptions of related future performance and identify opportunities for additional value creation as you integrate with larger EY due diligence teams to seamlessly contribute to the delivery of broader transaction process. In addition, you will:

  • Participate and play a leadership role in ESG due diligence engagements related to acquisitions or divestments by PEP investor groups and strategic corporate players
  • Act as an EY Subject Matter Expert for due diligence
  • Facilitate collaboration and cross-training across ESG and due diligence practitioners to expand ESG knowledge and knowledge and skills
  • Manage business development efforts to sell due diligence engagements
  • Engage with ESG due diligence leaders across the global EY practice to build the most impactful products for our clients.

Skills and attributes for success

Building on your financial transactions or due diligence skills, you will have, or build, the skills to:
  • Identify and quantify material ESG issues and their maturity as they relate to the valuation of the target
  • Conduct outside-in risk assessments to evaluate a target\xe2\x80\x99s ESG risks and develop buyer red flag reports
  • Conduct inside-in risk assessments to identify targets\xe2\x80\x99 ESG opportunities for value creation
  • Identify and provide recommendations to mitigate risks and leverage opportunities
  • Analyse financial/operational results of targets through analysis of operational accounting records and conducting interviews with management
  • Analyse ESG carve-out issues, as applicable relating to a buy-side or sell-side project
  • Identify ESG issues for purchase price reductions, deal structuring or deal termination
  • Identify post-acquisition/divestiture action steps
  • Perform industry and company research
  • Develop people including supervising staff effectively, providing constructive feedback/training and conduct performance reviews.

To qualify for the role, you must have
  • Extensive knowledge of the due diligence and financial transaction process
  • Minimum 5 years of relevant professional experience with 2 years scoping and completing due diligence projects and transactions
  • Bachelor\'s or Master\'s in Accounting and/or a related field
  • CPA, CA, or CFA certification (or equivalent)
  • Interest in ESG and its impact on a company\xe2\x80\x99s performance
  • Entrepreneurial interest in collaboratively building a new Canadian practice
  • Strong work initiative and the ability to adapt to new challenges and ideas
  • Willing and able to travel within Canada and US
  • Self-driven, hardworking, organized, and team player
  • Willing to teach, train, mentor and learn from less-experienced team members
  • Effective communicator
  • Toronto-based or willingness to re-locate to Toronto.
