WORK ILLUSTRATION:
Responsible for independently providing day-to-day commercial legal advice, risk-management, consultation, research and guidance to internal stakeholders and business teams in the areas of construction, commercial, and procurement law. The incumbent will work with the Senior Manager, Business Law Services (Construction) and the assigned client groups and prepares legal responses, documentation and assistance in the drafting and execution of all legal documents. In collaboration with the Senior Manager, Business Law Services (Construction) and internal stakeholders, the incumbent leads contract development and negotiations on behalf of the organization in a quality, cost-effective and timely manner. The incumbent conducts detailed legal research and supports policy development for commercial legal services. They also routinely collaborate with the organization\xe2\x80\x99s regulatory and litigation groups in advising internal clients. They will also work with external counsel in connection with commercial and construction files.

KEY RESPONSIBILITIES:
  • Legal Analysis and Advice: Works collaboratively with assigned client groups and internal stakeholders to provide day-to-day accurate construction and commercial legal advice fostering internal client relationships to develop an understanding of organizational needs and mitigate corporate risk in the contracting of commercial terms and conditions on behalf of the corporation and its\xe2\x80\x99 subsidiaries. Delivers practical and accurate legal opinions, interpretations, and advice on legal matters that involve interpreting facts, precedents, and evaluating situations in compliance with policies as well as all applicable laws and statutes.
  • Construction/Commercial Contract Management: Drafts, reviews and negotiates construction and commercial agreements/arrangements with external vendors/parties and provides consultation to achieve timely, quality, cost-effective performance (e.g. new commercial contract terms and conditions, operational and third-party agreements including, engineering, procurement, and construction agreements, third-party attachments, transit expansion projects, relocations, review of existing contract terms and conditions, amendments, and general legal documentation review. Assists with the drafting and reviewing of documents relating to construction procurements (e.g. RFPs, RFQs, RFTs, RFIs).
  • Legal Research and Policy Development: Conducts detailed legal research on emerging issues, best practices, current case law and renders interpretations of statutes, regulations to inform commercial legal services strategy and issues management activities. Participates in policy development where legal services are provided.
  • External Stakeholder Management: Liaises with external counsel in an effort to negotiate & execute agreements in support of the organization\xe2\x80\x99s capital and maintenance work programs and customer-initiated projects. Develops and maintains relationships with external counsel and organizations regarding commercial and real property matters.

REQUIREMENTS:
  • Bachelor of Laws (LL.B) or Juris Doctor (JD).
  • Member in good standing with an entity of the Federation of Law Societies of Canada (e.g. Law Society of Ontario).
  • Three (3) or more years professional experience in commercial law in the following areas: construction, procurement, and real property.
  • Experience in a regulated environment is considered an asset.
  • Familiarity with the Construction Act (Ontario), BTFA, Public Service Works on Highways Act.
  • Experience with drafting and negotiating both standard form (e.g. CCDC, CCA) and bespoke construction contracts.
  • Knowledge of commercial insurance and bonding is considered an asset.
  • Knowledge of legislation and common law impacting the organization.
  • Well-developed project and time management skills.
  • Proven judgment, analytical and problem-solving and decision-making skills; able to distill legal information and frame for legal and business user consumption.
  • Strong oral and written communication skills.

  • Strong vendor management skills.


Toronto Hydro has introduced a Hybrid Work Arrangement. This position allows for remote work up to three days per week, based on business needs. Employees will be required to come onsite on those days when they are involved in activities that they or their leader feel are better conducted in person.
