We are seeking a highly motivated and detail-oriented Junior Associate to join our Corporate/Commercial Law team at Prudent Law. This position offers hands-on experience in a dynamic and fast-paced legal environment, providing the opportunity to work closely with experienced lawyers on a variety of matters related to business law.
Key Responsibilities:
Conduct in-depth research on statutes, regulations, case law, and legal commentary relevant to corporate, commercial, securities, and regulatory matters. Provide clear and concise summaries and memos to assist with client advice and legal opinions.
Drafting & Reviewing Documents:
Assist in drafting and reviewing a wide range of legal documents, including:
o Incorporation and corporate resolutions
o Shareholder, partnership, and joint venture agreements
o Commercial contracts (e.g., NDAs, service agreements, supply agreements)
o Loan agreements and financing documents
o Purchase and sale agreements for assets or shares
o Corporate governance materials (resolutions, by-laws, meeting minutes)
Assist with due diligence for mergers, acquisitions, financings, and other corporate/commercial transactions
Participate in client meetings and conference calls, taking detailed notes and preparing follow-up materials
Help prepare materials for regulatory filings, including securities and compliance documentation
Support the team in managing corporate minute books and maintaining records
Observe and assist with closings and other transaction-related activities
Stay up-to-date on legal developments in corporate and commercial law
Qualifications:
Juris Doctor (JD) or equivalent from a recognized law school in Canada
Strong academic credentials
Excellent research, writing, and analytical skills
Ability to manage multiple tasks and meet deadlines under pressure
Professional demeanor and strong communication skills
Demonstrated interest in corporate and commercial law
