Our client in Woodbridge is actively looking for an experienced Corporate Law Clerk to join their team.

Title: Corporate Law Clerk
Location: Woodbridge, ON
Length of Assignment: Permanent
Salary: $70,000 - $75,000 annual

We are seeking a highly motivated and experienced law clerk to work in-office in our new Corporate Records and Governance department. We are a Vaughan-based real estate, planning, development, construction, investment and management firm.
The successful candidate will join a dynamic organization with a growing, forward-looking team. This is a unique opportunity to gain considerable knowledge of our company\'s various sectors and participate in the legal management of 200 plus various entities (corporations, Limited Partnerships, Trusts, Joint Ventures) while liaising with various external counsel from each of those sectors. The position will report to our Executive Director of Corporate Records and Governance.

Roles and Responsibilities:

  • Advise on the organization\'s corporate governance requirements
  • Complete straightforward and complex Minute Book reviews and due diligence regarding a variety of corporate governance matters
  • Manage and maintain digital Corporation records (annual minute book compliance, resolutions - share transactions, dividends, change in directors (filing notices of changes), share transfers/issuances)
  • Prepare and file Articles of Incorporation, Dissolution, Amalgamation
  • Digital maintenance of records on regulatory compliance (Land Bank Registry, ISC/Transparency register and file annual returns) and security registrations (PPSA)
  • Maintain systems to monitor critical dates for task management (i.e. Renewals of Limited Partnership, Business name registrations, annual compliance), generating reports as needed, adding/updating data to software as we expand our corporate-wide use of our entity management software, etc.
  • Supporting business units throughout our organization to meet their regulatory requirements or day-to-day business matters, i.e. Assisting with Corporate financings bank financing forms, and Assisting the Development department with regulatory (HCRA/Tarion), Auditors /internal due diligence requests
  • Assist with documentation preparations for Directors\' and Shareholders\' Meetings
  • Support the Executive Director with a variety of administrative tasks and aid in tracking goals and timelines
  • Liaise with external lawyers and partners as needed on corporate governance matters
Qualifications/skills
  • Experience as a Corporate Law Clerk
  • Advanced proficiency with the entire Microsoft Office Suite
  • Advanced proficiency with Ontario Business Registry (One-Key), Athennian (or other entity management software), Ecore, Cyberbahn and DocuSign.
  • Be a strong verbal and written communicator and a flexible team player
