Corporate Law Clerk

Job Overview:
This position plays a vital role in supporting a busy corporate law practice. You will be responsible for a wide range of corporate transactions and administrative tasks, working closely with lawyers and clients to deliver exceptional service and ensure the accuracy of corporate records and documentation.
Key Responsibilities:
Prepare and file incorporation and organization documents for federal and Ontario corporations
Draft resolutions, share certificates, registers, and other corporate documentation
Maintain corporate minute books and update corporate records (e.g., annual resolutions, share transactions, director/officer changes)
Assist with corporate reorganizations, amalgamations, and dissolutions
Conduct corporate and PPSA searches, due diligence, and regulatory filings
Register business names and handle business filings with government agencies
Liaise professionally with clients, lawyers, and third parties to ensure deadlines and compliance requirements are met
Manage a busy lawyer's calendar and support transactional closings with thorough administrative assistance
Qualifications:
Law Clerk or Legal Assistant Diploma (or equivalent certification)
Minimum of
3-5 years
of experience as a Corporate Law Clerk in a law firm
Strong knowledge of Ontario and federal corporate procedures and documentation
Excellent organizational skills with the ability to prioritize and manage multiple files
Strong communication and interpersonal skills
Detail-oriented, proactive, and able to work independently in a fast-paced environment
Technology & Tools:
Proficiency in
Microsoft Office Suite (Word, Excel, Outlook)
Experience with
Appara, NetDocuments, Soluno
, and
PPSA registrations
is considered a strong asset
Familiarity with electronic corporate records and legal filing platforms
