PBC Solutions is looking for a skilled and experienced Corporate Governance Advisor to join our team!Who is PBC Solutions?PBC Solutions Ltd. is a wholly owned subsidiary of PBC Health Benefits Society (operating as Pacific Blue Cross). We provide solutions for benefit services with administration, technology, and innovation to improve efficiency, accuracy, and customer experience. PBC Solutions administers Health Insurance BC Services on behalf of the BC Ministry of Health, including medically necessary insured doctor services through the Medical Services Plan (MSP) and drug coverage through the PharmaCare and Fair PharmaCare programs.Position Summary
The Corporate Governance Advisor (Governance Secretariat) oversees the governance framework of agreements, ensuring compliance, and contributing to successful governance practices with our key client at the BC Ministry of Health. PBCS operates under a Vested governance model whereby partners share a mutual commitment to long-term common goals that help to foster and environment of joint innovation and risk mitigation. Unlike traditional business relationships which are focused on win-lose arrangements where one-party benefits at the other\xe2\x80\x99s expense, Vested creates a win-win relationship in which the parties are equally vested in each other\xe2\x80\x99s success.While experience with a Vested governance model is not a required qualification for the role, demonstrating alignment to the philosophy of shared client-vendor success will be prioritized when considering candidates.Primary Duties and Tasks1. Meeting Coordination and Documentation:

  • Organize and coordinate governance meetings and events.
  • Prepare and distribute agendas, minutes, and relevant documentation.
  • Ensure accurate recording of meetings and decisions.
  • Prepare Committee meeting materials, schedules, lists of attendees, status reports, agendas, lists of action items, and minutes in consultation with co-chairs and other representatives of the Province and the Contractor as directed by the co-chairs.
  • Circulate agendas in advance and minutes promptly, incorporating corrections as needed.
2. Compliance and Reporting:
  • Monitor compliance with governance policies and regulations.
  • Prepare and submit required reports to regulatory bodies and interested parties.
  • Maintain up-to-date governance documentation.
3. Communication with Interested Parties:
  • Serve as the primary contact for committee members, executives, and other interested parties.
  • Facilitate effective communication between the board, committees, and management.
  • Facilitate information sharing among all Committees.
4. Policy Development and Implementation:
  • Assist in developing, reviewing, and implementing governance policies.
  • Provide guidance to ensure adherence to governance standards.
5. Monitoring and Compliance:
  • Establish metrics to track performance and compliance of Vested agreements.
  • Create and maintain an issue tracking log to document and track resolution of issues.
  • Document all Committee decisions and maintain a decision log.
6. Risk Management:
  • Identify potential risks and develop mitigation strategies for Vested partnerships
7. Communication and Transparency:
  • Promote open communication channels and provide regular updates to interested parties.
  • Proven experience building trust and consensus at senior levels.
8. Continuous Improvement:
  • Drive initiatives to enhance the efficiency and effectiveness of governance processes.
  • Regularly review Committee Terms of Reference and report on Committee effectiveness.
9. Governance Framework Implementation:
  • Support the implementation of governance frameworks.
  • Aid in developing communication strategies for integrating Vested governance principles.
10. Training and Development Support:
  • Support the design and delivery of training programs on Vested governance principles.
  • Foster a culture of continuous learning in governance practices.
  • Coordinate the onboarding of new Committee members.
11. Performance Monitoring and Evaluation:
  • Establish metrics to evaluate governance practices.
  • Assist in monitoring and reporting on the performance of governance initiatives.
  • Establish and maintain a shared repository for storing all materials, documents, issues, decision logs, and other artifacts.
Education and Experience
  • Bachelor\xe2\x80\x99s degree in Business Administration, Management, Law, or a related field. Advanced degree preferred.
  • 5-7 years in governance, strategic management, or related roles.
  • Experience in a governance secretariat role or similar capacity.
  • Experience delivering secretariat services to boards or senior executive committees.
  • Experience preparing briefing materials for senior executives.
  • Experience in corporate planning, policy development, strategy, and governance.
  • Experience managing multiple clients to achieve results.
  • Experience serving internal and external clients.
  • Knowledge of governance theory, ideally in a public sector context.
  • Proven track record of managing cross-functional teams.
  • Strong understanding of governance principles, contract management, and engagement with interested parties.
Preferred Qualifications
  • Familiarity with legal frameworks and regulatory requirements for Vested agreements.
  • Certification in governance or project management (e.g., PMP, CSCP).
Travel/Work Location: PBC Solutions is Headquartered in Saanichton, BC (a suburb of Victoria) and also has offices in Burnaby. We offer market competitive total compensation, including an annual incentive bonus plan and market-based salaries. The base salary range for this position is $76,800 to $105,600 annually.
