The Company



Parklane Mechanical Acoustics is a family owned and operated business, providing engineered noise control solutions to the ICI sector across North America. Parklane has over a 30-year legacy in the noise and vibration control industry, historically focusing on customized, solution-based noise control applications. The Role



The Contracts & Risk Manager will lead Parklane's contract lifecycle management and commercial risk strategy across all client, vendor, and partner agreements. Acting as a critical link between legal, finance, operations, sales, and insurance stakeholders, this role ensures that contractual terms are favorable, obligations are tracked, and risks are proactively managed. The ideal candidate will have deep expertise in contract review and negotiation, coupled with a strong understanding of insurance alignment, regulatory exposure, and operational risk.

Key Responsibilities



Contract Lifecycle Management



Draft, review, and negotiate a wide range of agreements, including MSAs, NDAs, SOWs, vendor agreements, purchase terms, and licensing arrangements. Ensure contract terms are commercially sound and aligned with Parklane's risk appetite and operational capabilities. Collaborate with Sales, Operations, Engineering, and Field Services to validate scope, deliverables, and risk exposure. Maintain and improve a centralized contract management system and clause library.

Risk Identification & Mitigation



Analyze and flag high-risk terms such as indemnities, limitations of liability, insurance coverage gaps, and termination conditions. Develop risk checklists and playbooks to accelerate internal reviews and reduce reliance on external legal counsel. Recommend alternate language or mitigation strategies to reduce liability and contractual exposure.

Insurance Policy Coordination



Review contractual requirements (e.g., liability caps, insurance minimums, waiver of subrogation) for alignment with existing policies. Liaise with insurance brokers to ensure coverage adequacy and recommend adjustments or endorsements based on project or client profiles. Maintain working knowledge of Parklane's commercial insurance portfolio and notify stakeholders of claims or incident triggers. Support annual renewals by aligning insurance needs with upcoming contractual commitments.

Cross-Functional Collaboration



Act as the key interface between Finance, Legal, Procurement, and Project Delivery to streamline contract workflows. Partner with the Director of Finance and VP of Operations on cash flow timing, vendor credit implications, and warranty obligations. Escalate only complex, high-risk issues to outside counsel, reducing external legal spend.

Governance, Tracking & Process Improvement



Maintain a centralized contract register with key dates, renewal triggers, and financial obligations. Support internal audits and regulatory reviews with accurate documentation and recordkeeping. Prepare quarterly summaries of contract-related risks and exposures for executive review.

Identify opportunities to automate workflows, implement contract analytics, or integrate the contract register with ERP/finance systems.

Drive adoption of contract management tools to improve efficiency and reporting.


Qualifications & Experience



5-10 years of experience in contract management, legal operations, commercial risk, or procurement law. Strong familiarity with commercial and construction contracting across Canadian and U.S. jurisdictions. Experience working with insurance brokers or underwriting teams on risk alignment. Exceptional written and verbal communication skills, with the ability to influence and guide non-legal stakeholders. Highly organized, detail-oriented, with strong negotiation skills and sound risk judgment.

Able to thrive in a fast-paced, growth-oriented construction/manufacturing environment.


Preferred Attributes



Paralegal certification, LLB, or related legal education (asset, not required). Industry experience in construction, manufacturing, engineering services, or mechanical contracting. Proficiency with contract lifecycle management (CLM) software or contract repository tools.

Reduction in outside legal counsel hours and costs. Improved internal contract turnaround time. 100% compliance with insurance requirements in active contracts. Clear visibility and reporting of legal and financial risks across the project portfolio.
