About the role




Nous sommes a la recherche d'un(e) conseiller(ere) juridique, Fusions et acquisitions pour notre equipe grandissante!


Vous integrerez l'equipe juridique des Transactions courtiers et finances corporatives, composee de 4 avocats et 3 parajuristes, desservant l'unite d'affaire Distribution et strategies financieres chez Intact.

Ce que vous ferez :



Conseiller et representer l'entreprise, en fusions et acquisitions, notamment dans le cadre de placements prives, prises de participation et financements, dans les secteurs de la distribution de produits d'assurance (agences ou cabinets de courtage en assurances) ou de la chaine d'approvisionnement d'Intact au Quebec. Revision de memos fiscaux lors de reorganisations corporatives ayant des structures fiscales complexes impliquant les societes de portefeuille d'Intact. Rediger et negocier des contrats, tels des conventions d'achat d'actions, des conventions d'achat d'actifs, des conventions de souscription, des conventions entre actionnaires, des conventions commerciales, des conventions de pret et autres documents afferents aux transactions. Identifier les risques juridiques potentiels lies aux transactions proposees. Collaborer etroitement avec des equipes internes et des parties externes, notamment des fiscalistes, comptables et d'autres professionnels, et effectuer des verifications diligentes afin d'assurer la realisation reussie des transactions. Veiller a ce que l'integrite et les valeurs de l'organisation soient toujours respectees. Participer aux projets strategiques nationaux, en collaboration avec le directeur ou le vice-president des affaires juridiques, le cas echeant.

Ce que vous mettrez a profit :



Membre du Barreau du Quebec. Au moins 5 ans d'experience dans un grand cabinet d'avocats ou un service juridique d'entreprise en droit commercial, des societes ou des assurances. Bon sens des affaires. Excellentes competences en redaction, revision et negociation de contrats. Bon jugement et capacite a evaluer les implications pratiques des risques juridiques. Capacite a identifier de maniere proactive les risques juridiques et reputationnels et a proposer des solutions innovantes. Capacite a etablir des relations avec les unites d'affaires et les parties prenantes et a influencer la prise de decision. Joueur d'equipe avec la capacite de bien collaborer avec les autres. Capacite a prioriser et a gerer plusieurs dossiers et projets a la fois. Experience prealable dans une industrie reglementee serait un atout. Aucune experience de travail au Canada requise, mais necessite d'avoir l'autorisation de travailler au Canada.
