hief legal advisor, providing strategic legal direction, governance oversight, and leadership in managing legal and regulatory risk across all areas of the business.



The Vice President, Legal Counsel & Corporate Secretary will act as the principal liaison between the Board of Directors and executive management, supporting the Board, the Board Chair, and the President in fulfilling their respective governance and fiduciary responsibilities. The incumbent will also promote a culture of integrity, accountability, and sound governance practices throughout the organization and may represent WCLC in significant legal, regulatory, or governance matters.



Key Responsibilities




Serve as a trusted legal advisor to the President and Board, ensuring that legal, compliance, and governance considerations are fully integrated into strategic and operational decision-making. Interpret, draft, review and negotiate a variety of contracts, including vendor agreements, to align with strategic business objectives, while governing the corporate contract repository. Identify and manage potential conflicts, ensuring legal compliance in all transactions. Provide executive oversight to legal, compliance, people and corporate services teams ensuring their portfolios align with legal requirements and governance standards. Oversee enterprise-wide legal strategy, governance and compliance frameworks. Ensure proactive hands-on management of legal risks, including litigation, regulatory filings, contract negotiations and investigations. Serve as executive sponsor for compliance audits and risk mitigation initiatives. Advise the Executive Leadership Team on legal, compliance and human capitol matters. Oversee preparation of reports, legal opinions and governance documents for Board review. Foster strong relationships with internal and external stakeholders.

Required Skills




Minimum 7-10 years of progressive legal and/or compliance experience including executive leadership Strong understanding of employment law, corporate governance and risk management Proven track record of advising Boards and executives on high-impact legal organization matters Influential collaborator, able to build trust at all levels of the organization Excellent oral and written communication abilities, including drafting for disclosure and board materials Ability to coach and foster a collaborative work environment Proven ability to organize work of the team, including working under pressure and managing several complex files concurrently within established deadlines. High degree of integrity, judgement and professional ethics

Education



Bachelor of Laws (LLB) or Juris Doctor (JD) from a recognized law school is required Must be a member in good standing or eligible for immediate membership with the Law Society of Manitoba Additional credentials in business or leadership (e.g., MBA) considered an asset
