Are you a visionary governance leader with a passion driving excellence in corporate oversight? We are seeking an exceptional individual to join our team as the Vice President of Governance and Legal. As the VP, you will play a pivotal role in championing impeccable governance practices and shaping our legal strategy.

Reporting directly to the President and CEO, you will hold a key position as part of E-Comm\'s Executive Leadership Team. You will be responsible for ensuring the evolution of an effective corporate governance framework whilst promoting strong corporate governance practices throughout all of EComm.

You will act as a trusted advisor on matters related to corporate governance to the Executive Leadership Team and the Board of E-Comm, whilst developing and executing a comprehensive legal strategy that aligns with the company\'s objectives and corporate initiatives. You will ensure compliance with all applicable Acts and laws regarding the operation of the company including freedom of information and privacy protection laws, as well as overseeing the timely completion of FIPPA requests.

Your key responsibilities in this role will include:

  • Establishing and evolving the company\'s governance framework, policies, and procedures, maintaining the highest standards of corporate ethics and compliance
  • Overseeing the administrative management of the Board of Directors and various Board and stakeholder committees, including the accurate recording of meeting proceedings, ensuring compliance with the E-Comm Members\' Agreement and Articles of Incorporation, the Emergency Communications Corporations Act and filing regulations under the British Columbia Corporations Act
  • Operating as the liaison between the Board and the Executive Leadership Team and shareholders regarding Board decisions, attending Board meetings and providing procedural advice
  • Administering obligations under the Freedom of Information and Protection of Privacy Act and maintaining required corporate records
  • Acting as the principal owner of the engagement of outside legal counsel with a view to optimizing the use of such external resources by the company
  • Providing (directly or through third parties) expert guidance on a broad spectrum of legal
matters, including contracts, agreements and regulatory compliance * Collaborating closely with cross-functional teams to mitigate legal risks and ensure business decisions are legally sound

The Vice President, Governance & Legal is appointed by the Board of Directors and is required to be an Officer of the Corporation

WHAT YOU BRING:
  • Completion of a Bachelor degree and a post-graduate degree in disciplines relevant to the work and a minimum of 15 years of related management experience, or an equivalent combination of education, training and experience
  • Strong experience with day-to-day governance work in corporate environments, ideally in both the public and the private sector
  • Experience changing/evolving the governance model of a public or private sector entity
  • Current or past Board Directorships and experience with corporate governance work is desirable
  • A legal degree and membership of the BC Law Society is desirable but not essential for this role
  • Ability to take the lead on the resolution of complex political and management issues and to make decisions and/or recommendations related to strategic and policy issues, departmental operations and human resources matters
  • Experience with contracting work, either as the lead executive or as corporate counsel, is desirable
  • Strong business acumen, strategic thinking, and the ability to balance legal considerations with business objectives
  • Exceptional interpersonal skills, with the ability to influence and collaborate across all levels of the organization.
  • Outstanding leadership skills, including the ability to mentor and develop others
  • Impeccable integrity and an unwavering commitment to upholding the highest ethical standards.
SECURITY REQUIREMENTS:
As a condition of employment at E-Comm, the required Police Security Clearance applicable to the position must be acquired and maintained. This is a process carried out by our law enforcement partner agencies, facilitated by E-Comm. The minimum residency in Canada to qualify for this position, as established by our law enforcement partner agencies, is 5 years.
