Located in our Head Quarters in Burlington, Massachusetts, and under the supervision of the Senior Vice President, General Counsel, you will be part of a multi-national global legal team in an exciting, fast paced, innovative and dynamic environment. Your focus will be on supporting transactions involving cutting edge and technology solutions in the automotive world. You will be a lead negotiator for complex transactions, drafting and negotiating a very diverse range of complex cloud services, on premises software, embedded software, professional services, data privacy and data security related agreements. You will manage the negotiation strategy and align with all required internal stakeholders required to close transactions with our customers in North America.

Additional responsibilities are provided below:

Act as the primary attorney for the company supporting Cerence's business in the United States in direct interaction with customers' procurement and legal teams to ensure that negotiations are conducted efficiently

Lead rapid framing of license transactions and negotiation strategy, working with Sales, Finance, and senior sales management, and driving internal approvals

Draft, review, and negotiate a variety of agreements including sales agreements, services agreements (SaaS), and partnership agreements and rapidly resolve contract issues in a manner that is reasonable for Cerence and the customer.

Partner with product and security team on various tasks related to the development and maintenance of our data privacy and security programs, in the advice and negotiation of DPAs,, security agreement addendum, and commercial contract terms and conditions relating to data protection, and developing policies and programs in the privacy and security areas

Handle privacy, marketing, competition, and other legal and regulatory matters in the region.

Legal management of employment and labor matters in the U.S

Handle real estate matters in the region.

Collaborate with global legal team members to develop and implement best practices and policies, for example in the areas of contracting, licensing, and compliance.

To succeed in this role incumbent must have these qualifications:

Massachusetts bar admission.

A minimum of 6 years of experience drafting and negotiating technology contracts focusing on corporate transactions; with at least 3 years of law firm experience and a minimum of 3 years of experience representing a global company either in-house or at a law firm.

Significant experience in SaaS and software transactions.

Working knowledge of privacy/GDPR and security requirements.

You "own" the transactions on which you work, and take personal responsibility for completing them, including driving all participants and functions to complete their required action.

Strong multi-tasking skills and ability to manage multiple contract requests/deal support requests in parallel and cope with tight deadlines.

Keen attention to detail, ability to work independently, and excellent organizational skills.

Good judgment with an understanding of when to ask for guidance or input.

Solid understanding of the difference between remote and real risks.

Cooperative attitude and an affinity for working with others, including business and global legal team, to get the job done.
