Job Description

As Senior Legal Counsel, you will play a critical role in navigating the complexities of corporate law to ensure our organization operates within the bounds of legal and regulatory frameworks. From providing expert legal advice and managing risk to guiding our business through intricate transactions and compliance matters, the Senior Legal Counsel is integral to our mission of upholding the highest standards of integrity and operational excellence. More specifically, you will:


Provide strategic legal advice and support on a wide range of corporate issues, including mergers and acquisitions, corporate governance, and corporate finance. Draft, review, and negotiate various types of commercial contracts and agreements. Ensure proactive compliance with all applicable laws and regulations, including federal and provincial frameworks. Assist in the management of corporate litigation and disputes. Navigate complex stakeholder relationships with an outcomes-based mindset. Oversee the company's intellectual property portfolio and ensure proper protection of assets. Advise senior management on legal risks and strategies for mitigation. Coordinate with external legal counsel as needed. Participate in the development and implementation of company policies and procedures. Provide training and guidance to other members of the legal team and company employees. Conduct legal research and stay updated on changes in laws and regulations applicable to the company.

Qualifications




Juris Doctor or Bachelor of Laws. Minimum of 10 years of experience practising commercial law for a law firm, government, or corporation. Experience with mergers and acquisitions, corporate governance, and corporate finance. Strong negotiation and contract drafting skills. Excellent analytical skills and problem-solving abilities. Membership in a provincial bar association required. Proficiency in English is required for this position, as the incumbent will be required to interact with our English-speaking clients, partners, and suppliers; Successfully complete the investigation and security clearance process required by the federal government's Contract Security Program.
