Job Description


:Position Summary:Under limited oversight of the Executive Director, Regulatory Affairs or the Senior Counsel, the Senior Contract Specialist is responsible for drafting, reviewing, revising, and negotiating a variety of third-party contracts on behalf of Great Canadian Entertainment (the Company). In addition, the Senior Contract Specialist will manage the organization and lifecycle of all contractual documentation, ensuring compliance with company policies, applicable laws and relevant regulations.Key Accountabilities:Drafting & Negotiation

  • Draft, review, and revise third-party contracts, including, without limitation, vendor agreements, service contracts, real property agreements, licensing agreements, non-disclosure agreements, as well as unique agreements.
  • Negotiate contracts provisions directly with external parties to ensure alignment with organizational objectives and policies, applicable third-party requirements, appliable laws and regulatory requirements, and internal compliance requirements (Applicable Requirements).
  • Identify and mitigate contractual risks while optimizing terms in favor of the organization.
  • Create and maintain standardized contract templates for recurring business needs, ensuring legal compliance and consistency in drafting.
Contract Lifecycle Management
  • In coordination with the Procurement Department, optimize the implementation of a contract and procurement management system, ensuring third parties are onboarded and contracts are executed and maintained in compliance with Applicable Requirements.
  • Develop and implement best practices for contract tracking, renewal notifications, and amendments.
  • Monitor contract performance and identify issues or potential risks that need to be escalated to the General Counsel or appropriate business units.
  • Evaluate and recommend contract management software or other tools to streamline workflows and improve visibility into contractual obligations.
Policy & Process Improvement
  • Assist in the development, implementation, and enforcement of contract management policies, procedures, and templates.
  • Recommend process improvements to streamline contract workflow and enhance organizational efficiency.
  • Stay current with relevant legal and regulatory changes impacting contract drafting and negotiation in alignment with Applicable Requirements.
Compliance & Risk Management
  • Ensure all contracts adhere to all Applicable Requirements.
  • Conduct risk assessments on contract terms, identifying potential legal or financial exposures and proposing practical solutions.
  • Collaborate with internal stakeholders (e.g., Compliance, Finance, Procurement, Operations) to ensure contracts meet cross-functional needs.
Stakeholder Management
  • Serve as a key point of contact for internal teams requiring contract drafting, negotiation, or interpretation support.
  • Provide guidance and training on contract-related topics to internal stakeholders, fostering awareness of legal standards and best practices.
  • Serve as a key point of contact in the management of contract administration for mergers & acquisitions and other transactional related matters.
  • Coordinate with external counsel as needed on complex or high-risk matters.
  • Provide initial support in the resolution of contract-related disputes, coordinate with General Counsel on escalated matters.
  • Develop and deliver training sessions for internal teams to bolster understanding of contract terms, obligations, and negotiation strategies.
Reporting & Documentation
  • Track and analyze key performance metrics (e.g., contract turnaround time, negotiation success rates) to improve outcomes and provide reporting metrics for the Company's Senior Management Team and Board of Directors.
  • Maintain accurate and up-to-date contract files, records, and correspondence.
  • Generate regular reports on contract status, upcoming renewals, and risk assessments for senior management review.
  • Assist General Counsel in preparation of Board of Directors reports.
  • Evaluate and recommend contract management software or other tools to streamline workflows and improve visibility into contractual obligations.
Educational and Functional Requirements:
  • Bachelor's Degree in Business, Legal Studies, or a related field. Paralegal certification or advanced degree (JD, LLM, MBA) is an asset.
  • 8+ years of experience in contract drafting, negotiation, and management, ideally in a regulated or complex commercial environment.
  • Solid working knowledge of Canadian contract law; experience with casino, gaming, liquor, hospitality or regulated industries is an advantage.
  • Strong attention to detail, excellent communication skills, and the ability to collaborate effectively with internal and external stakeholders across multiple departments.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) as well as standard technology skills.
  • Familiarity with contract management systems or related legal technology tools preferred.
  • Ability to spot and address discrepancies or risky contract terms.
  • Comfortable writing, discussing, modifying, and finalizing legal and commercial terms with limited oversight.
  • Capable of managing large volumes of contracts and meeting critical deadlines.
  • Excellent written and verbal communication skills to coordinate with stakeholders at all levels.
  • Able to identify potential legal or business risks and recommend pragmatic solutions.
  • Work effectively with cross-functional teams and external parties.
