As the Manager of Governance, you will be responsible for the management of corporate governance, including Board reporting, Grants of Authority, and Corporate Policies. Your goal will be to lead and strengthen the company's governance framework by overseeing board governance activities, corporate policies, and executive support functions with precision and confidentiality. Your success will be demonstrated the consistent delivery of high-quality governance materials, improved stakeholder understanding of key frameworks like the Grants of Authority, and the development of a high-performing Governance team that drives compliance and best practices across the organization.

Your Responsibilities:Lead the Governance team in Board Governance activities, including coordination, preparation and review of Board and committee materials, maintaining utmost confidentiality
Lead the Governance team in providing executive support including preparation of Board and other materials and review of materials prepared by their teams
Research and make recommendations on best practices and processes to optimize our overall Company's approach to corporate governance
Be the Subject Matter Expert on the Grants of Authority (GoA), collaborating with Legal to reinforce understanding of the GoA and seek opportunities to enhance and sustain existing processes
Educate business on the GoA through formal and informal communications and training sessions
Lead direct reports in all aspects of the Corporate Policy Framework, collaborating with business stakeholders and senior leaders to develop, review, research, update and sustain all Corporate policies and standards
Oversee direct reports on the Governance team, including establishing goals, measuring results, and ensuring employee accountability and development
Interact with senior leaders and executives, shape and execute analyses, and prepare clear, concise and compelling presentations
Lead the development and coordination of key Governance processes and procedures, and ensure stakeholder compliance
Provide ad-hoc support and advisory services to internal stakeholders, as requested
Your Skills:Strong well-developed research skills, comprehensive report writing, analysis and ability to present results to all levels in the organization
Ability to translate quantitative and qualitative analyses into clear messages and informed responses in short timeframes
Strong leadership skills with a strong ability to motivate, coach and effectively manage the team
Effective management skills and ability to manage multiple priorities, workloads and meet deliverables
Excellent communication and presentation skills
Ability to build strong relationships and establish credibility with senior level and executive teams
Comfortable handling deviations from routine, flexible and adaptable to changes in priorities and deliverables
Your Experience:Post-secondary education - undergraduate degree, and a degree in accounting or legal would be considered an asset
5-10+ years of experience in Governance and/or related areas
5+ years of leadership experience
