What is the opportunity? We are looking for a Legal Counsel, to fill a vacancy created by a recent retirement. The Legal Counsel provides legal advice to all of Zafin\xe2\x80\x99s departments and is responsible and accountable for all Zafin\xe2\x80\x99s legal functions and processes, including drafting and negotiating commercial agreements. The Legal Counsel is responsible for the oversight of external legal work, and for the company\xe2\x80\x99s overall legal budget. In this role you will contribute to Zafin\xe2\x80\x99s strategic decision-making processes in partnership with the senior Executives.
Location: Vancouver, British Columbia or Ottawa Ontario.
What will you do?

• Identify and manage legal risk.
• Provide senior leadership with legal advice, and strategic and operational guidance.
• Negotiate agreements with our clients, suppliers, and alliance partners worldwide.
• Advise the company on the legal risks of proposed transactions.
• Protect the company\xe2\x80\x99s intellectual property.
• Advise on various corporate, commercial, employment, and real estate matters.
• Draft company policies.
• Research and advise on national and international legal and regulatory issues.
• Maintain templates for the company, such as sales and employment agreements.
• Manage any litigation issues, such as contract disputes.
• Liaise with external legal advisors on projects assigned to them.

What do you need to succeed? Must have:

• JD degree in law (or equivalent) from an accredited law school.
• Member in good standing in the Law Society.
• 5-7 years\xe2\x80\x99 working experience working in a corporate / commercial legal capacity within a fast-paced, fast-evolving, and dynamic environment.
• Experience successfully leading negotiations on complex, high value contracts.
• Experience in participating in M&A transactions, evaluating and advising on risk allocation.
• Experience drafting and negotiating SaaS contracts.
• Experience dealing with IP and privacy issues (e.g., GDPR).Experience with corporate governance issues and corporate secretarial duties.
• Experience successfully leading negotiations on complex, high value contracts.
