Job Description


We are looking for legal counsel to work as a member of the Commercial Team within the Legal Department. You\xe2\x80\x99ll be tasked with helping to assist and oversee commercial legal matters for Bombardier Recreational Products Inc. (BRP) and its subsidiaries worldwide. The focus will be on commercial, purchasing, software and information technology matters, including coordination (as applicable) with data privacy and data security professionals. The incumbent will contribute to strategic initiatives at BRP as part of our digital and IS-IT transformation, and work closely with legal department colleagues and internal business teams, sourcing professionals, service providers, and outside law firms as needed to provide legal solutions in support of commercial contracts, including IT, technology and data initiatives and developments. of the incumbent will be responsible for ensuring that the interests of BRP are protected in the best way possible, while minimizing the financial and legal risks associated with business decisions and strategies.

YOU\xe2\x80\x99LL HAVE THE OPPORTUNITY TO:
Structure, draft, review, analyze, negotiate, and interpret critical contracts, including purchase agreements, network support and development agreements, services agreements (including consulting, outsourcing, cloud service, SaaS software as a service, software/technology licensing, managed services, and infrastructure as a service), and product and service procurement agreements, forms, and amendments.

Respond to external/internal comments while ensuring required legal, financial and performance terms are reflected in the contract.

Work with BRP internal business partners and purchasing departments to accomplish strategic objectives by providing proactive advice, developing negotiation strategies, and creating innovative solutions.

Identify issues and balancing potential risks and making recommendations to resolve same.

Collaborate with peers and leaders in legal and purchase departments and business partners to ensure project and deal outcomes align with priorities, are consistent with company goals, comply with legal requirements, and adequately mitigate company risk.

Understand and keep up to date with industry trends and the legal and regulatory landscape of the business.

Support a variety of commercial practice areas within BRP as the need may arise as BRP is constantly evolving.

Provide input into formulation of BRP standard legal and business positions.

Monitor and assist in revising and updating standard agreements, templates and tools for our internal business partners.

Lead or support process improvement and other projects, many of which are multi-departmental.

Occasionally perform legal research on various topics.

Complete assigned tasks in a fast-paced environment with high-level direction and limited supervision.

Promote compliance with corporate guidelines and policies.

Help develop and provide education and training to relevant BRP internal business partners.

THIS ROLE IS A GOOD FIT IF YOU HAVE THE FOLLOWING SKILLS AND QUALITIES:

3 to 5 years\xe2\x80\x99 experience as a lawyer in-house or in commercial practice of large law firm.

Bachelor of Law (LL. B) or J.D. Degree and be a current member of the appropriate bar.

Experience drafting, reviewing and negotiating commercial contracts such as master service agreements, vendor agreements, licensing agreements, professional services agreements, SaaS agreements, consulting services agreements, etc.

Experience applying critical thinking to complex problem identification, analysis and resolution working with procurement, supply chain, and/or other non-legal contract management teams.

Other meaningful commercial contract negotiation and contract drafting experience.

Knowledge of International laws, legal environment applicable to Canada (Common Law an asset) and knowledge of US laws and regulations would be an asset.

Ability to work independently while managing multiple work assignments and competing priorities under tight timeframes in the midst of changing circumstances.

Excellent judgment

Ability to translate complex legal concepts into practical, actionable advice.

Strong organizational, commercial and negotiation skills.

Outstanding interpersonal, verbal, and written communication skills.

Perfectly bilingual in French and English, both verbal and written.

Ability to travel between BRP offices periodically.

The person sought has excellent judgment; shows curiousness, discipline, autonomy, and initiative in their work; is organized, capable of working under pressure and multi-tasking while meeting dedicated deadlines. The candidate must also have an interest in business and be able to understand issues from a commercial point of view as well as the legal perspective. Interpersonal skills, the ability to take direction and work within a team, adaptability and open-mindedness are also sought for this position.

ASSETS

M.B.A. or strong focus , experience and emphasis in manufacturing, sales and distribution company commercial matters, research & development, commercial litigation, or contracts.

Experience with complex supply contracts including with technology vendors such as SAP, Salesforce, Oracle, Adobe, Intuit, Infor, etc.

Experience with data privacy, customs and import/export issues, and professional services agreements.

Experience leading collaborative projects.

Proficiency in other languages.

The position is based in Quebec, Canada, and can be located at either BRP\xe2\x80\x99s downtown Montreal office or in Valcourt at BRP\xe2\x80\x99s headquarters in the Eastern townships.
