About The Opportunity




As Legal Counsel, you will serve as the principal legal advisor to the organization. You will provide strategic legal advice and manage all legal matters impacting Canada Guaranty and serve as a key advisor to the CEO and executive team, working with the Compliance function to ensure compliance with legal and regulatory obligations while proactively mitigating risks. This is a hands-on leadership role, requiring a strategic thinker with the ability to handle a wide range of legal matters including corporate governance, contracts, employment law, privacy, compliance, and risk management.

In this role, you will:

Act as the chief legal advisor to the CEO and executive team Manage corporate governance, including board support, internal policies, corporate records, and annual filings Support strategic initiatives from a legal perspective Work closely with the Compliance function to ensure adherence to relevant federal and provincial regulations Ensure timely filings, corporate records maintenance, and regulatory submissions (e.g., corporate registry filings, annual returns) Oversee compliance with privacy legislation such as PIPEDA and other applicable data protection laws Draft, review, and negotiate a wide range of contracts including commercial agreements, vendor contracts, NDAs, and MOUs Provide guidance on employment-related legal matters including hiring practices, workplace investigations, accommodations, terminations, and employment standards Advise on litigation, arbitration, and regulatory matters and manage and coordinate external counsel in such matters. Manage relationships with external legal providers to ensure cost-effective and high-quality legal services

Essential Qualifications



LL.B. or J.D. degree from a recognized institution Member in good standing of the Law Society of Ontario At least 7 years of broad corporate law experience with a strong background in corporate/commercial law, employment law, and regulatory compliance Strategic thinker, with demonstrated skill balancing legal considerations with business priorities Exceptional communication and interpersonal skills with a track record of developing strong internal and external partnerships Demonstrated knowledge of insurance, corporate law and risk management Proven leadership and team management abilities Comfortable working independently in a fast-paced, evolving environment Proven ability to manage multiple projects with competing priorities Excellent communication and negotiation skills with the ability to influence stakeholders at all levels Sound judgment, integrity and the ability to manage complex legal matters with a strategic mindset Strong organizational and project management skills with the ability to manage competing priorities and meet deadlines

Preferred Qualifications



Previous in-house counsel experience for a mid-size organization Experience working with leadership teams and advising boards is a major asset Membership with Law Societies in addition to Ontario Previous experience working for or with OSFI-regulated institutions
