Legal Counsel

Capstone Infrastructure Corporation ("Capstone") is a Canadian company focused on developing, constructing, acquiring and operating high-quality clean power generation facilities. Capstone currently owns and operates an approximate gross installed capacity of more than 800 megawatts across 31 facilities in Canada, including wind, hydro, solar, biomass and natural gas power plants.

Capstone is seeking a lawyer (Legal Counsel) to cover a broad range of legal matters. In this role, you will report to the General Counsel & Corporate Secretary. You will have significant senior management and business unit interaction to help them navigate, understand, and comply with legal and regulatory requirements while balancing risk and reward to ensure the long-term sustainability of Capstone. The ideal candidate will have a strong interest in the power generation sector, and particularly in renewable energy projects. You will work alongside a team of approximately 60 staff at the office in Toronto\'s business district and an additional 100+ employees across our Canadian businesses.

Responsibilities:

  • Support complex cross-enterprise transactions. Assess legal risk and material issues in commercial contracts and provide advice to commercial teams and external counsel.
  • Provide advice and guidance to development and operations teams across Capstone\'s subsidiaries, including real estate matters, operations agreements, supplier contracts and services agreements. Matters may also include construction agreements, partnership agreements, and intellectual property management.
  • Provide support on mergers and acquisitions, including non-disclosure agreements and due diligence activities.
  • Assist with compliance and ESG matters, and implementation of core corporate policies/procedures.
  • Assist with securities law compliance and public company reporting requirements, including its annual information form, management discussion & analysis, and other public disclosures.
  • Provide advice and support for finance functions, including debt issuance and credit facilities.
  • Advise on general corporate law, structuring, new entity creation and risk mitigation.
  • Oversee and direct external counsel in various jurisdictions; interpret and disseminate legal advice and recommendations to clients.
  • Assist with management of overall legal budget and find opportunities to make legal processes more efficient and cost effective.
  • Generally assist on other legal matters as they arise and provide day-to-day advice.
Skills, Knowledge, Qualifications and Experience:

As the ideal candidate for this position, you will have at least 3-6 years of experience in a similar role or relevant legal experience in sophisticated corporate/commercial private practice at a major law firm and/or in-house corporate legal department.

You must hold an LLB or JD designation and be licensed to practice law in Ontario.

Qualifications include:
  • Experience in corporate/commercial matters, required. Experience in energy or infrastructure projects, or real estate experience will be highly valued. Additional securities law and regulatory compliance experience, a plus.
  • Experience drafting and negotiating commercial agreements, and advanced technical skills.
  • Superior written and verbal communication abilities.
  • Flexible problem solver and self-starter who excels working as part of a team and independently, with accelerated exposure, responsibility, and a passion for performance.
  • Highly organized and able to prioritize and manage multiple tasks and changing priorities. Ability to meet deadlines and work under pressure.
  • Strong interpersonal skills; able to build harmonious working relationships with colleagues, multiple stakeholders, and outside counsel, and to work with a wide range of people with varying degrees of legal knowledge.
  • Strong analytical and quantitative skills, and sound commercial instincts and the self-confidence to advocate one\'s views, both internally and externally.
  • Proven legal and business judgment with an orientation to finding creative solutions.
