The Legal Counsel position reports to Senior Legal Counsel of the firm and must be a member in good standing of the Law Society of Upper Canada with at least 3-4 years post call experience. The job location is in the firm's National Office in downtown Toronto.

The General Counsel's Office is responsible for:

  • Advising all departments, service lines and management on legal issues/matters which concern the firm
  • Dispute resolution and managing outside counsel on significant litigation defence
  • Providing proactive and timely advice on changes in laws and regulations which affect the firm
  • Reviewing and advising on all legal documents prior to execution by the firm
As a Legal Counsel your responsibilities will include:
Commercial
  • Advise on all agreements and documents involving the firm including those related to professional engagements, proposals, information technology, acquisitions, joint ventures, suppliers etc.
  • Advise on regulatory compliance issues.
  • Conduct legal due diligence, negotiate and prepare documentation for acquisitions
  • Advise on and negotiate all offers to lease, sub-leases, renewals, assignments of lease
  • Engage with management and provide advice on partnership and employment issues
Regulatory
  • Advise on professional regulatory issues and amendments including those related to CPAB, PCAOB, and the various provincial Institutes of Chartered Professional Accountants
  • Advise on internal and external professional file reviews and disciplinary matters
  • Monitor and provide advice on all laws and regulations affecting the firm e.g. limited market dealer registration, lobbyist registration, money-laundering
Marketing and Business Development
  • Advise on advertising, marketing collateral, internet content and press releases to ensure compliance
  • Advise on internet and intranet issues including privacy
Must be interested in working as a team in a collegial department.
