Role Overview:
The Legal Counsel provides proactive, business-oriented legal advice and support across the Company and its subsidiaries. This role covers a broad range of legal areas, including corporate and commercial law, securities compliance, employment law, regulatory matters, and intellectual property. Working closely with the CEO, executive team, and external counsel, the Legal Counsel ensures the Company operates within applicable laws and regulations while supporting strategic business objectives.
Your Contribution:
The following is a general description of duties that are performed regularly in this role. Please note, the duties and responsibilities set out below are not intended to be exhaustive and employees may be requested to perform tasks in addition to the duties specified below to assist with additional Company-related activities as required.
Draft, review, and negotiate a variety of contracts and agreements, including supplier, service, licensing, research, and partnership agreements.
Provide timely legal advice on corporate and commercial matters, regulatory compliance (including under the Cannabis Act), and other industry-specific legal issues.
Provide legal support on securities compliance and corporate governance matters in accordance with TSX listing requirements, including continuous disclosure, insider reporting, and other public company obligations.
Prepare and maintain corporate records, minute books, and statutory filings for the Company and its subsidiaries.
Assist with Board and shareholder matters, including the preparation and review of meeting materials, resolutions, and governance documentation.
Advise on employment-related matters such as employment agreements, workplace policies, and legislative compliance.
Support intellectual property protection strategies, including coordination with external counsel on patents and trademarks.
Manage and oversee the contract lifecycle, ensuring consistency and compliance with internal policies.
Engage and manage external legal counsel for specialized or complex matters; track and control associated costs.
Monitor potential litigation or disputes, assess liability exposure, and recommend mitigation strategies.
Contribute to the development of legal templates, policies, and procedures that support operational efficiency and risk management.
Qualifications:
Juris Doctor (JD) or Bachelor of Laws (LL.B.) degree.
Licensed to practice law in a Canadian province or territory and a member in good standing with the applicable law society.
Minimum of 7-10 years of progressive legal experience, preferably including in-house experience.
Strong knowledge of Canadian corporate, commercial, and regulatory law; experience with securities law is an asset.
Exposure to the life sciences, pharmaceutical, or highly regulated industry preferred.
Experience in intellectual property management and/or employment law considered an asset.
Demonstrated ability to provide practical, solution-oriented legal advice in a business context.
Excellent drafting, negotiation, and analytical skills.
Strong interpersonal and communication abilities, with a collaborative approach and sound professional judgment.

This position is based in an office environment.
The role requires a high degree of confidentiality, discretion, and professionalism in handling sensitive corporate and legal information.
Work may occasionally extend beyond standard business hours to meet critical deadlines, attend Board or committee meetings, or support time-sensitive legal or regulatory matters.
The position involves frequent collaboration with executive leadership, external counsel, and regulatory bodies.
The role operates in a fast-paced, highly regulated environment, requiring adaptability, sound judgment, and the ability to manage multiple priorities simultaneously.
