ACASS, a leading provider of international business aviation support solutions is seeking a dynamic, qualified, and experienced in-house Legal Counsel capable of effectively managing corporate legal initiatives and providing sound advice on regulatory, litigation and commercial matters in support of the company\xe2\x80\x99s full range of services. In this full-time position, you will work closely with our General Counsel to oversee the legal aspects of our growing business, develop strategy, resolve issues, and mitigate risk across the company\xe2\x80\x99s functions and business activities. You will also contribute your legal expertise and advice in support of the company\xe2\x80\x99s internal operational requirements, including human resources, information systems, accounting and finance, and risk and litigation management. Key responsibilities
  • Manage the legal aspects of ACASS\xe2\x80\x99s internal and external processes and address issues as they arise.
  • Collaborate with our General Counsel to establish and implement legal strategy, manage/mitigate risks, and resolve issues.
  • Conduct legal research and review ACASS\xe2\x80\x99s litigation strategy related to legal actions.
  • Serve as a trusted advisor to stakeholders including ACASS\xe2\x80\x99s owners and senior leadership team and advise/educate on a variety of legal matters and compliance.
  • Standardize and manage legal documents and contracts relating to ACASS\xe2\x80\x99s business management activities.
  • Prepare and negotiate a wide variety of commercial contractual arrangements.
  • Create, review, and maintain contract and agreement templates including employment and vendor agreements.
  • Analyze and support corporate transactions by reviewing contractual documentation and/or ancillary documentation related to ACASS\xe2\x80\x99s products and services.
  • Cooperate with the Director of Aircraft Transactions on client contract preparation and negotiation.
  • Participate in negotiations related to aircraft sales and leases, providing legal guidance, identifying legal risks, and advising on legal risk aversion measures.
  • Handle and coordinate statutory and corporate filings ensuring corporate records and contracts library are maintained and up to date.
Qualifications & Skills
  • A strategic thinker with sound legal judgement and keen business sense who can understand business sensitivities and confidentiality, and who is proficient in assessing, analyzing, and mitigating business risk.
  • A proactive individual with excellent advocacy, negotiation, and problem-solving skills.
  • Mature, personable, and culturally aware with engaging people skills and high emotional intelligence.
  • Curious and eager to learn about the aviation industry and to develop the ability to apply legal knowledge to all parts of our business.
  • Capable and organized with the ability to effectively prioritize, manage multiple projects, work under pressure, and maintain high attention to detail in a time-sensitive, results-driven environment.
  • Proficient in confidently and effectively communicating with stakeholders across the organization.
Requirements
  • Juris Doctor/Bachelor of Law degree from accredited law school.
  • Active legal professional with a valid license to practice law in Quebec.
  • Additional jurisdictions are not required but may be considered an asset.
  • 2-3 years of law firm/in-house counsel experience practicing commercial law. Litigation experience is considered an asset, but not a requirement.
  • Experience in commercial transactions, asset-based financial transactions, commercial contracts, labour and employment matters.
  • Strong knowledge of corporate statutes, rules, and regulations.
  • Strong interpersonal, negotiation and communication skills in English and French (written and spoken).
  • Ability to manage occasional stress due to multiple projects and/or tight client deadlines.
  • Ability and willingness to work flexible and irregular hours to accommodate job demands as needed.
  • Previous experience in business aviation is considered an asset, but not a requirement.
  • Experience and knowledge in insurance policy management and insurance law is considered an asset, but not a requirement.
