$82,000-$137,000

JOB SUMMARY:
Working in conjunction with Senior Legal Counsel and internal stakeholders, the Legal Counsel will be primarily responsible for the drafting, negotiation and execution of assigned contracts. The incumbent will coordinate with Sponsors, vendors and internal stakeholders to facilitate the timely execution of contracts in accordance with project, corporate, industry and regulatory best practices and guidelines and provide training on internal contract processes and mentoring of department staff. Additionally, they will advise on legal risk and liabilities associated with contracts and other initiatives, research legal and regulatory issues that may impact Alimentiv (\xe2\x80\x9cALMTV \xe2\x80\x9c) and assist in the development of strategies to address these issues
ROLE & RESPONSIBILITIES:
Internal Support

  • Assist business development where questions arise regarding the terms of contracts and related documents and provide guidance on risks, acceptable wording and negotiations with Sponsors.
  • Provide similar support to other internal departments, including Project and Medical R&D when engaging with vendors and other research collaborators and from time to time, lead the contract negotiations on behalf of ALMTV.
  • Advise internal stakeholders on legal risk and liabilities associated with contracts and other initiatives.

Contract Management and Execution
  • Coordinate the review and negotiation of new contracts including Sponsor, vendor, confidentiality and data sharing agreements, project orders, contract revisions and/
  • or amendments
  • Mitigate risk to ALMTV through appropriate agreement terms and conditions
  • Secure the approvals from internal stakeholders and lead or support the negotiation with Sponsors and vendors required for the execution of legal contracts and supporting documents on a timely basis.
  • Draft new agreement templates and be responsible of the maintenance of existing agreements and templates.
  • Ensure all work and final documents (including storage of) align with SOP\'s and project protocols, corporate, industry and regulatory standards and legal best practices. Engage the services/guidance of outside legal counsel as required.

Ongoing Legal Guidance and Project Work
  • Research and provide advice on the interpretation of applicable statutes and regulations.
  • Advise on compliance and risk management matters, including internal policies and procedures.
  • Support internal projects of both the legal department and others or participate on committees where legal skills are needed or you are a member of the team.

QUALIFICATIONS:
  • Post graduate degree or undergraduate degree with professional certification(s) Level and 4-6 years of related experience + substantial on-going training
  • D./LL.B (or equivalent) and membership in good standing with the Law Society of Ontario
  • Previous drafting and contract negotiation experience
  • Strong oral and written communication skills.
  • Knowledge of Intellectual Property, Data Protection and Privacy laws and experience working in clinical trial or pharmaceutical industry are considered an asset
  • Fluency in English is required as this role requires regular communication in English with clients and staff located in other provinces, the United States, and Europe.
