Position Overview
The Corporate Counsel will have the assistance of a paralegal and work closely with the General Counsel to support the legal needs of our diverse operations. This role requires a business-minded legal professional who is comfortable navigating a broad scope of legal matters, including commercial transactions, real estate, construction law, litigation, employment matters, regulatory compliance, and risk management across multiple jurisdictions.
Key Responsibilities
Draft, review, and negotiate a wide variety of commercial agreements including vendor contracts, purchase and sale agreements, construction contracts, loan documents, leases, and NDAs.
Provide support and coordination on real estate transactions and development and construction agreements, and related matters.
Provide legal support and act as the compliance officer for capital lending transactions and financial structuring.
Support the General Counsel on M&A, corporate governance, and restructuring activities across the family office portfolio.
Ensure compliance with applicable laws and regulations in BC, Alberta, Washington, Oregon, and California.
Assist in managing litigation and disputes, liaising with external counsel as required.
Advise HR and operational teams on employment law matters, including unionized workforce considerations.
Conduct legal research, monitor legal and regulatory developments, and implement best practices for risk management.
Help develop and refine internal policies and processes that align with legal requirements and business objectives.
Qualifications
Juris Doctor (JD) or LLB and admission to practice law in British Columbia. Practice experience and license to practice in at least one of the following jurisdictions is an asset: Alberta, or a U.S. state (Washington, Oregon, or California).
Minimum 5 years of post-call legal experience, preferably gained in a top tier law firm and/or in-house legal department.
Strong experience with commercial, real estate, construction, or corporate law.
Cross-border legal experience or familiarity with both Canadian and U.S. legal frameworks is a strong asset.
Experience working with or advising unionized and non-unionized workforces is preferred.
Excellent judgment, strong analytical skills, and a practical, solutions-oriented approach to problem-solving.
Superior communication and interpersonal skills, with the ability to work collaboratively across a wide range of business functions.
Proactive, adaptable, and comfortable working in a fast-paced, entrepreneurial environment.
