POSITION OVERVIEW
Working collaboratively with the Assistant Vice-President, Legal Affairs and other internal legal counsel and legal assistants to provide legal advice and business direction to business centres and operational units as well as external counsel, on issues related to loan structuring, financing, administration and enforcement. Able to demonstrate experience and expertise to advise on the required security and other loan conditions, contract terminology, review and revision of loan commitment, security and other financing documents, ensuring that legal advice is consistent with a practical business approach.
CHALLENGES TO BE MET
Act in an advisory capacity, making recommendations to business centres and operational units on various external client financing matters and/or internal projects which impact clients and the conduct of the organizations business
Provide advice to business centres, special accounts (enforcement) and business restructuring groups on the handling of problem accounts, assist in developing or approving plans of action, instruct outside counsel as required and monitor compliance with BDCs policies and procedures relative to enforcement of loan security
Negotiate and prepare agreements as required
Provide support, coaching, training and direction to Legal Affairs staff
Prepare and present ongoing legal training to internal partners
Provide opinion on upcoming revisions to law and regulations relating to security-taking in applicable regions and report to management changes in legislation that may affect BDCs financing activities
Advise management as to any observed deficiencies or issues in BDC security forms or procedures, make recommendations for their improvement and draft standard forms and contracts as necessary
Remain current with technological developments applicable to BDC processes
WHAT WE ARE LOOKING FOR
Bachelors Degree in Law and/or JD and member of the Law Society of Ontario in good standing
At least 5 to 7 years of relevant experience in commercial law, financial services law, and/or commercial real estate; experience as in-house counsel is considered an asset
Bilingualism in English and French an asset but not mandatory
Excellent judgment and problem-solving skills
Excellent verbal and written communication skills
Able to work in a collaborative mode and to effectively manage competing priorities in a fast-paced, high volume environment
Must have an excellent team spirit and a strong client-centric approach
