Job Title Legal CounselWe are seeking a highly skilled and experienced Legal Counsel to join our Legal team in Burlington, Massachusetts. Reporting to the Head of Legal for Americas, the Legal Counsel will provide comprehensive legal support to both Signify Canada and Signify US. The ideal candidate will have at least 3+ years of experience in a similar role, either in a law firm or in-house at a multinational company and must be qualified to practice law in both Canada and the United States.Working for Signify means being creative and adaptive.   • Contract Review and Negotiation: Review, draft, and negotiate a variety of commercial contracts, including distribution and sales representative agreements, product supply and service agreements, SaaS agreements, strategic collaboration agreements, turnkey lighting/construction service agreements, and procurement agreements.
  • Legal Counseling: Provide informed legal counseling and commercial contracting advice on issues relating to our sales and marketing activities, customer agreements, private and government tenders, and distribution channels (distributors, agents, etc.).
  • Regulatory Compliance: Advise and counsel business clients on a range of compliance and regulatory issues, including privacy & product security laws, public procurement laws, domestic preference sourcing requirements.
  • Marketing and Advertising Review: Review marketing and advertising materials to ensure compliance with legal & regulatory standards.
  • Claims and Litigation Management: Assist with claims and litigation management, including managing outside counsel, directing the scope of activities, and establishing and adhering to budgets with the goal of cost-efficient delivery of prompt, high-quality legal services.
  • Training: Provide Legal, compliance and ethics training to business clients.
  • Additional Projects: Perform other non-lighting projects as required as part of the Signify Legal Function (e.g., legal tech & AI, and other digitalization, automation & simplification activities).
Your qualifications
  • Education: Law Degree from an accredited law school and be admitted to practice law by a Provincial regulatory authority as well as by at least one US State Bar.
  • Experience: 3+ years of experience in a law firm or in-house at a multinational company.
  • Skills and Expertise:
  • Demonstrated experience negotiating and drafting various types of commercial agreements such as sales and procurement agreements, distributor and agency agreements, reseller agreements and SaaS agreements.
  • Ability to recognize legal and ethical risks and communicate effectively with business partners regarding the same.
  • Ability to prioritize and manage multiple projects and work independently with colleagues in multiple locations.
  • Ability to work effectively in cross-functional teams.
  • Ability to resolve legal issues in a manner that allows the business to move forward on the basis of informed, reasonable and controlled risk-taking.
  • Demonstrated maturity, communication skills, influencing skills, judgment, and functional expertise when solving legal issues and dealing with both internal and external clients.
  • Ability to be a team player with Legal colleagues and with business partners.
  • Comfortable working in an environment that requires handling sensitive situations tactfully yet firmly, being assertive without being adversarial, and making potentially unpopular decisions when necessary while maintaining trust and credibility.
  • Driven, entrepreneurial, hands-on mentality and spirit, pragmatic, possesses a growth mindset, is willing, able and open to learning with others (both Legal colleagues as well as business partners).
  • Effective verbal and written communication skills in all interactions with senior management, corporate functions, and all levels of personnel.
  • Proficiency with generative AI (Artificial Intelligence) tools and familiarity with AI applications in legal operations.
  • Developed business acumen, with the ability to understand the lighting sector\xe2\x80\x99s business and anticipate the nature and magnitude of issues that could arise in various situations.
  • Superior analytical and problem-solving skills.
  • Act with the highest level of integrity and professionalism.

  • Salary: $127,900 - 167,000
  • Bonus: target bonus opportunity - 15%
