Position Summary
Reporting to Department Head the
Jr. Corporate/Commercial Legal Assistant
is responsible for supporting an array of practice areas with typical duties including handling commercial transactions and the associated financing, lender compliance, real estate development and secured lending. Strong organizational skills are essential for this role, requiring the ability to independently develop plans and document lists while remaining adaptable to direction and restructuring as needed. This position requires a strong working knowledge of source legislation with a high degree of drafting accuracy, if you are unsure, you know where to find the answer.
Accountabilities
Draft, edit, format, and revise legal documents, ensuring timely and accurate filing in compliance with limitation dates and legislation.
Review and analyze agreements of purchase and sale and other commercial contracts to support transactions and litigation.
Coordinate and schedule client appointments, communicate with clients to gather information, and provide updates, ensuring deadlines are met.
Conduct and analyze due diligence, including title research, corporate searches, off-title inquiries, liens, and asset searches.
Summarize and report findings from due diligence to support transactional and litigation matters.
Calculate, draft, and analyze statements of adjustments and financial documentation for transactions.
Manage the receipt and disbursal of funds for transactions in accordance with financial reporting requirements.
Oversee the completion of transaction closings, including scheduling and expediting matters as necessary.
Liaise with lenders, brokers, legal professionals, and management to ensure efficient file progression.
Administer client files, including opening, conflict searches, client identification, scanning, electronic filing, billing, and invoicing.
Maintain accurate and up-to-date document management systems for efficient record-keeping.
Identify and resolve transactional issues, including title concerns, to ensure smooth processes.
Ensure adherence to legal, regulatory, and firm policies to mitigate risk and maintain compliance.
Organize meetings, prepare reports, conduct client interviews, and maintain client relationships.
Support the legal team with additional administrative tasks as required.
Who You Are:
Proven working experience as a Legal Assistant (commercial experience preferred) of 1+ years
Familiarity with law, legal procedures and protocols as well as the day-to-day operations of a legal office
Proficiency with Microsoft Office Suite (Word, Excel, Outlook, etc.,) ECorp, BC Online, LTSA and Esilaw
Strong English proficiency both written and verbal, with the ability to communicate effectively at all levels of an organization, both internally and externally.
Practice sound discretion and judgement while handling multiple activities.
Ability to maintain a high degree of accuracy while tracking open files, and ensuring relevant information and documents are clearly laid out for others to review and assist.
Specialized industry experience may be an asset.
Legal Assistant or Paralegal certification or diploma.
